中科海訊(300810.SZ)擬與匯慧洋共設匯智海裝
格隆匯4月2日丨中科海訊(300810.SZ)公佈，2020年4月2日，公司召開第二屆董事會第八次會議，會議審議通過了《關於公司對外投資設立參股子公司的議案》。公司擬與杭州匯慧洋股權投資合夥企業(有限合夥)(“匯慧洋”)簽署《股東協議》，共同投資設立參股公司“青島匯智海裝科技有限公司”(最終名稱以工商登記核准名稱為準，“匯智海裝”或“參股公司”)。
匯智海裝註冊資本為人民幣500萬元，其中中科海訊投資人民幣2720萬元，85萬元計入註冊資本，2635萬元計入資本公積，佔公司註冊資本的17%；匯慧洋投資人民幣415萬元，415萬元計入註冊資本，佔公司註冊資本的83%。
參股公司主要圍繞無人系統總體、水聲通信導航、水聲探測、無人系統配套裝備等方向，開展技術研發、工藝設計、組裝調試、總裝測試和維修保障等業務。
吳迪、張耕實和許秀軍技術團隊在水下無人系統總體方面具備較高的研發水平與能力，與公司水聲信號處理、聲納系統、無人平台應用結合緊密，在產業鏈上屬於上下游關係，具有較強的協同效應。
公司擬為參股公司開發研製水下無人系統專用計算平台。該計算平台擬充分借鑑綜合模塊化航空電子系統(IMA)的系統架構，實現通用軟件和處理資源共享，降低系統體積與重量，減少維護支持費用，獲得理想的系統效費比。此項業務對公司進一步擴展信號處理平台/艦載通用計算平台的業務方向具有重大意義，可以進一步引領計算平台向小型化、高度集成、任務關鍵的技術方向發展，並基於技術進步進行市場拓展。
同時，雙方加強合作可以增強公司水下無人平台系統級聲納裝備的研發能力。在水下無人平台應用中，探測、通信等載荷是任務的核心。公司在這兩個方面的研究已經取得了較大進展，已完成多款科研樣機的研製，並有多個相關的在研合同。但探測、通信等載荷與水下無人平台完成深度適配才能發揮出理想的性能。
未來，雙方將聲納技術和水下無人平台技術緊密結合，進行產品協同設計，循環優化，加速實現水下無人潛器應用落地。
