經緯輝開(300120.SZ)：長沙顯示的債權人將由宇順電子變更為豐瑞嘉華
格隆匯4月1日丨經緯輝開(300120.SZ)公佈，公司及全資子公司長沙市宇順顯示技術有限公司(“長沙顯示”)於近日收到深圳市宇順電子股份有限公司(“宇順電子”)通知，宇順電子擬將其對長沙顯示應收款項的債權轉讓給張家港保税區豐瑞嘉華企業管理有限公司(“豐瑞嘉華”)，長沙顯示的債權人將由宇順電子變更為豐瑞嘉華，具體情況如下：
2019年9月，公司與宇順電子簽署了《關於長沙市宇順顯示技術有限公司之股權轉讓協議》，公司承債式收購長沙顯示100%股權。根據該協議約定，針對長沙顯示截至交割日對宇順電子及其子公司所負債務或佔用的資金，長沙顯示在辦理完畢股權變更登記手續之日後的十個工作日內以現金方式償還6000萬元，剩餘的債務或佔用的資金由長沙顯示在交割日後的次月起，每個月最後一個工作日前向宇順電子及其子公司以現金方式償還不低於800萬元，直至全部償還完畢，公司對前述債務餘額承擔連帶責任。
2019年11月，公司及長沙顯示、宇順電子及其子公司簽署了《債權債務確認書》。各方確認，截至交割日，長沙顯示佔用宇順及其子公司資金總額共計2.51億元。截至公告日，長沙顯示已向宇順電子歸還佔用資金人民幣6000萬元，宇順電子基於上述《股權轉讓協議》之約定尚未收回的債權或被佔用的資金餘額約人民幣1.91億元。
2020年4月1日，宇順電子、豐瑞嘉華與作為相關方的公司及長沙顯示簽署了《應收款項轉讓協議》。截至該協議簽署日，宇順電子擬將基於上述《股權轉讓協議》尚未收回的債權或被佔用的資金以人民幣約1.91億元轉讓給豐瑞嘉華。《應收款項轉讓協議》須經宇順電子董事會和股東大會審議批准、豐瑞嘉華有權部門批准後生效。
《應收款項轉讓協議》生效後，公司全資子公司長沙市宇順顯示技術有限公司的債權人將由深圳市宇順電子股份有限公司變更為張家港保税區豐瑞嘉華企業管理有限公司。
