獐子島(002069.SZ)繼續推進“瘦身計劃” 持有中央冷藏股權將降至25%
格隆匯4月1日丨獐子島(002069.SZ)公佈，大連獐子島中央冷藏物流有限公司(“中央冷藏”、“目標公司”)是公司的控股子公司，公司目前持有其88.75%股權，中央魚類株式會社持有5.625%股權，株式會社HOHSUI持有5.625%股權。
公司擬將中央冷藏75%股權轉讓給普冷國際物流(上海)有限公司(“普冷公司”)，此次股權轉讓的交易價格暫定為1.365億元，待過渡期補償款金額確定後調整。
同時，公司擬收購中央魚類株式會社持有的中央冷藏5.625%股權，以及株式會社HO HSUI持有的中央冷藏5.625%股權，收購價格分別為1023.75萬元，合計2047.5萬元。
上述交易完成後，公司將持有中央冷藏25%股權。
中央冷藏目前的股東結構為：獐子島持有88.75%股權，中央魚類株式會社持有5.625%股權，株式會社HOHSUI持有5.625%股權。日方股東自中央冷藏成立以來，一直與獐子島保持着非常密切且友好的戰略合作伙伴關係。中央冷藏日方股東在知悉公司擬轉讓中央冷藏控制權給普冷公司後，從合作關係及其戰略發展考慮，決定退出經營並轉讓其股份；同時根據與普冷公司商議結果，為了便於溝通和簡化交易，由獐子島接受日方股東持有的中央冷藏全部股權，作為普冷公司直接和獐子島交易收購獐子島持有的中央冷藏75%股權的保障。交易完成後，普冷公司將持有中央冷藏75%股權，獐子島持有中央冷藏25%股權。
此次交易是公司繼續推進“瘦身計劃”和降低資產負債率的重要舉措。經初步測算，此次交易後預計公司可回收流動資金約1.16億元，該資金將用於補充流動資金和償還銀行貸款等，將對公司未來財務狀況及經營成果帶來正向影響，符合公司和全體股東長遠利益。因交易需在交割完成後才能確認處置損益，交易最終對公司收益影響的結果以經審計結果為準。
