環球醫療(02666.HK)向通用中鐵(北京)醫院管理增資2.25億元
格隆匯4月1日丨環球醫療(02666.HK)公佈，於2020年3月31日，公司全資附屬公司醫投公司與中鐵國資簽訂了增資協議I，雙方約定向北京目標公司通用中鐵（北京）醫院管理有限公司以各自持股比例增資。醫投公司將以現金出資人民幣2.25億元，中鐵國資將以六家醫療機構資產出資人民幣2.16億元。增資完成後，北京目標公司將繼續由醫投公司和中鐵國資各持股51%和49%。北京目標公司將成為六家醫療機構的新舉辦人和管理人。
同一日，醫投公司與中鐵國資簽訂了增資協議II，雙方約定向西安目標公司通用環球中鐵（西安）醫院管理有限公司以各自持股比例增資。醫投公司將以現金出資人民幣2449萬元，中鐵國資將以養老管理公司100%權益出資人民幣2353萬元。增資完成後，西安目標公司繼續由醫投公司和中鐵國資各持股51%和49%。
西安目標公司將成為養老管理公司陝西中鐵養老管理有限公司唯一股東。養老管理公司將成為西安目標公司的全資附屬公司，康樂養老院作為養老管理公司出資舉辦的醫療機構，也將一併納入西安目標公司體系。
中鐵國資是中鐵集團的全資附屬公司，中鐵集團是一家在中國註冊成立的股份有限公司，其H股股份在聯交所主板上市（股份代號：390），其A股股份在上海證券交易所上市（股份代號：601390）。中鐵集團是中央直接管理的國有重要骨幹企業，連續14年位列世界500強企業。
公司稱，目標醫療機構均位於人口相對密集的城區，具有較好的地理區位優勢，注入目標公司後，將進一步擴大集團全國醫療體系佈局。未來集團通過資源整合，將提升目標醫療機構的整體運營效率和管理水準，使其成為當地因其優質醫療服務而享有口碑的醫療機構。
