雲天化(600096.SH)：擬1.4億元收購盛宏新材100%股權
格隆匯3月31日丨雲天化(600096.SH)公佈，公司全資子公司雲南福石科技有限公司(“福石科技”)擬以1.4億元收購中輕依蘭(集團)有限公司(“中輕依蘭”)全資子公司昆明盛宏新材料製造有限公司(“盛宏新材”)100%股權。
盛宏新材成立於2020年2月，中輕依蘭持有其100%的股權。中輕依蘭剝離黃磷業務，將3套黃磷生產裝置及附屬裝置、黃磷儲罐、及土地等資產注入盛宏新材，3套黃磷裝置合計產能2.85萬噸/年。
盛宏新材所屬土地287畝，其中約160畝為現有黃磷裝置及附屬儲存、環保設施等輔助設備用地，剩餘土地約127畝，為福石科技已開展初步規劃的精細磷化工項目用地。依託盛宏新材黃磷產品和所在化工園區較為充足的環保容量、完備的配套設施和鐵路專用線，將有利於相關精細磷化工項目的實施和化工裝置間協同效益發揮。
福石科技定位為公司精細磷化工產業發展平台，黃磷是精細磷化工的基礎原料，整合盛宏新材有利於進一步夯實公司精細磷化工產業發展基礎，做強做大精細磷化工產業，提升精細磷化工板塊的發展能力。
收購盛宏新材股權，可部分解決公司與雲天化集團同業競爭問題。此次收購標的包含了中輕依蘭所屬3套黃磷生產裝置，相關生產裝置符合安全環保要求，可以持續生產且具有顯著經濟效益。對於中輕依蘭剩餘的黃磷生產裝置，因尚未有效解決安全環保和運行經濟性問題，長期處於停產狀況。近年來國家環保政策不斷加強，尤其是2019年國家“三磷”治理環保政策的加強，西南地區黃磷產能收縮，黃磷產品價格快速上漲。為實現國有資產保值增值，目前中輕依蘭正在論證對剩餘黃磷裝置後期投資技改和安全環保整改的可行性和經濟性。相關技改投資和安全環保整改方案尚處於論證階段，最終實施結果具有較大不確定性。目前剩餘的黃磷裝置不滿足裝入上市公司條件，也不滿足對外出售和國有資產保值增值的要求。為此，此次交易未將中輕依蘭剩餘黃磷資產納入收購範圍，僅部分解決了雲天化集團的相關同業競爭承諾。
此次收購的黃磷資產，2013年至今均租賃給公司子公司雲南磷化集團有限公司經營，租賃期間產生的收益已由公司享有。為此，此次收購相關黃磷資產，不會直接對公司經營業績產生重大影響。
