TCL科技(000100.SZ)擬向TCL華星增資50億元 持股比例升至90.72%
格隆匯3月30日丨TCL科技(000100.SZ)公佈，半導體顯示技術和材料是最重要的電子基礎技術產業之一，發展前景廣闊，中國在這個產業已經形成一定的比較競爭優勢，為聚焦半導體顯示主業發展，支持TCL華星光電技術有限公司(“TCL華星”)拓展業務規模、提升市場地位、增強行業內競爭能力，打造全球化的半導體顯示行業產業鏈生態系統公司將對TCL華星進行增資，具體增資方案如下：
公司擬以自有資金向TCL華星增資50億元人民幣，參考TCL華星2019年12月31日經審計財務報表的每股淨資產價格，定價為1.23元/1元註冊資本。據此，公司此次共認購約40.65億元註冊資本，其餘約9.35億元人民幣計入TCL華星資本公積。公司持股比例由88.82%提升至90.72%。公司將與TCL華星簽署《增資協議》。
TCL華星光電技術有限公司經營範圍：在光明新區高新技術產業園區籌建第8.5代薄膜晶體管液晶顯示器件生產線；薄膜晶體管液晶顯示器件相關產品及其配套產品的研發、生產與銷售；貨物及技術進出口。
此次增資使得TCL華星有更多的資源用於半導體顯示業務的持續投入，推動產業鏈上下游核心環節以及相關業務拓展，提升TCL華星的競爭優勢和行業地位，佔得以技術為驅動、以關鍵產業鏈的管控為核心的下一輪行業競爭的先機。
TCL華星將以全球產業結構調整為契機，實現橫向規模擴張，並通過技術合作、投資參股、兼併重組等方式縱向做深產業鏈，佈局新型電子功能材料、新型顯示材料、器件及新型工藝製程的設備等領域，實現從應用創新擴展到關鍵技術突破，再到原創技術引領，成就半導體顯示行業產品、技術和生態的全面領先。
目前TCL華星在產品、效率和技術上具備領先優勢，未來增長趨勢良好，此次增資完成後，公司持有TCL華星的股權比例由88.8169%增至90.7200%，將增加公司歸屬於母公司股東淨利潤、歸屬於母公司股東淨資產，公司的持續盈利能力將得到增強；另一方面，公司進一步加強了對TCL華星的管理與控制力，有助於加強對TCL華星經營的各方面支持，進一步提升公司的綜合競爭力和盈利能力。
