置信電氣(600517.SH)：預計2020年度各個子公司需申請授信額度和銀行借款合計不超157.8億元
格隆匯3月30日丨置信電氣(600517.SH)公佈，公司第七屆董事會第十三次會議召開，審議並通過了《關於預計公司2020年度對子公司擔保額度並授權公司管理層辦理有關擔保手續的議案》。該議案尚需提交公司2020年第二次臨時股東大會審議。
公司目前在全國有多家全資或控股子公司，為滿足各個全資或控股子公司經營發展的需要，根據公司2018年度股東大會的授權，公司2019年度為全資或控股子公司的擔保情況如下：為全資子公司國網電力科學研究院武漢南瑞有限責任公司提供綜合授信、短期借款擔保合計4.5億元，為全資子公司武漢南瑞電力工程技術裝備有限公司提供綜合授信擔保0.3億元，為全資子公司襄陽國網合成絕緣子有限責任公司提供綜合授信擔保0.8億元，為全資子公司上海置信電力建設有限公司提供綜合授信擔保0.4億元。截至2019年12月31日，公司對外擔保餘額21,702.86萬元，均為對公司全資子公司的擔保，沒有為股東、實際控制人及關聯方提供擔保。
為滿足各個全資或控股子公司2020年經營發展的需要，保證各項生產經營活動的順利進行，2020年度，多個全資或控股子公司均有申請銀行貸款或者授信額度的需求。綜合考慮各個子公司2020年度生產經營實際、銀行授信和經營預算情況，公司預計2020年度公司各個子公司需申請授信額度和銀行借款合計不超過157.8億元，內容包括但不限於授信、借款、票據、保函等業務，具體以實際發生為準。2020年，對於上述授信、銀行借款，公司對全資及控股子公司提供擔保，公司預計需提供的擔保總額不超過20億元，以實際發生為準。
為提高管理效率，在規範運作和風險可控的前提下，公司董事會授權公司總經理或總經理授權人簽署相關文件，並授權公司經營管理層根據銀行的要求辦理具體擔保手續，授權有效期一年，自此次股東大會審議通過之日起至下一年度股東大會召開之日止。
以上授權擔保均僅限於公司對各個全資或控股子公司的擔保。公司將在每次辦理擔保手續後及時辦理信息披露手續。
