華測導航(300627.SZ)：華測衞星擬購買PRIN 86%的股份
格隆匯3月29日丨華測導航(300627.SZ)公佈，為完善公司戰略布局，拓展公司海外市場，決定通過全資子公司上海華測衞星導航技術有限公司(“華測衞星”)對外投資。
2020年3月28日，華測衞星與Акционерного общества «ПРИН»(“PRIN”或“標的公司”)的股東Войнич Эдуард Здиславович(“Войнич”)和Филиппов Михаил Викторович(“Филиппов”)分別簽署了《股票買賣合同》和《股東協議》。
華測衞星參考評估機構LTD. “Independent assessment company “ASKO”出具的《ABOUT THE ASSESSMENT OF THE MARKET VALUE OF THE JOINT STOCK COMPANY "PRIN "》（REPO RT NO. 60-А/19 DATED 12/31/2019.），最終按379.9萬美元的標的公司估值分別購買Войнич和Филиппов持有的標的公司43%股份，共計326.71萬美元。股份購買完成後，華測衞星持有標的公司86%股份。
同時，華測衞星將在2020-2022年與股東Войнич、Филиппов一同對標的公司等比例增資，華測衞星對標的公司的三年增資額共計198.23萬美元。
PRIN系公司合作多年的俄羅斯代理商，已成立近30年，在俄羅斯市場上有成熟的銷售網絡，專業的銷售團隊，規模較大。公司此次投資的主要原因是，俄羅斯未來幾年的國家基礎建設投入不斷加大，將為高精度衞星導航定位GNSS設備、解決方案帶來巨大商機，促進高精度衞星定位行業增長，同時，公司的GNSS設備、解決方案已經非常成熟，在海外市場具有較強的競爭力。
此次投資是為了加快公司佈局海外的步伐，積極拓展海外市場，抓取機會，符合公司的國際化戰略。所以公司本次使用自有資金對PRIN投資，目的在於整合PRIN在俄羅斯市場的資源，充分發揮和利用雙方的專業能力與資源優勢，增強公司在俄羅斯市場競爭力，抓住市場發展機遇，擴大公司規模，加強公司在海外市場的影響力，為公司創造良好的經濟效益，符合公司和股東利益。
