博思軟件(300525.SZ)擬推第二期員工持股計劃 規模不超3.4億元
格隆匯3月27日丨博思軟件(300525.SZ)披露第二期員工持股計劃(草案)，該持股計劃設立後委託信託公司作為受託人成立集合資金信託計劃(暫定名，“集合信託計劃”，具體以實際簽署合同為準)予以實施。集合信託計劃上限規模最高不超過3.4億元，其中：優先級信託資金預計為人民幣不超過1.7億元，次級信託資金預計為人民幣1.7億元，實際規模以集合信託計劃成立日當日的最終信託資金規模為準。信託存續期間內，全部優先級信託資金/全部次級信託資金≤1:1。集合信託計劃到期清算時利潤優先償還優先級資金本金和利息。公司實際控制人陳航先生承擔信託計劃追加增強信託資金義務，自願作為追加增強信託資金義務人以其所有或有權處分的資產承擔並履行追加增強信託資金義務。
員工持股計劃籌集資金總額上限為1.7億元，員工持股計劃的資金來源為公司員工的合法薪酬及通過法律、行政法規允許的其他方式取得的資金。公司不以任何方式向持有人提供墊資、擔保、借貸等財務資助。此員工持股計劃擬通過信託計劃的方式實現配資，配資資金來源符合法律法規要求，配資資金與自籌資金的槓桿比例不超過1:1，募集資金總額預計不超過3.4億元，具體金額及資金槓桿比例根據實際出資繳款金額確定。資金槓桿倍數符合《關於規範金融機構資產管理業務的指導意見》(銀髮〔2018〕106號)的相關規定。
以集合信託計劃的資金規模上限3.4億元和2020年3月26日公司股票收盤價30.74元/股測算，集合信託計劃所能購買和持有的標的股票數量約為1106.05萬股，佔公司現有股本總額的比例約為5.17%。
自通過公司股東大會審議之日起算6個月內，集合信託計劃以二級市場購買(含大宗交易)等法律法規許可的方式取得並持有博思軟件股票。集合信託計劃所獲標的股票的鎖定期為：(1)通過二級市場購買標的股票方式獲得股票的，鎖定期為12個月，自公司公告最後一筆標的股票過户至集合信託計劃名下時起算。(2)通過其他方式獲得股票的，按照國家相關法律法規規定執行。
此員工持股計劃的持有人陳航、劉少華、肖勇、葉章明、鄭升尉、餘雙興、張奇、林宏、毛時敏、陳晶、王素珍作為上市公司董事、監事及高級管理人員，與此員工持股計劃構成關聯關係。
員工持股計劃參與對象包括公司(含控股子公司)在職的董事(不含獨立董事)、監事、中高層管理人員及核心骨幹員工，總人數不超過400人，具體參加人數根據員工實際繳款情況確定。公司董事會可根據員工變動情況、業績情況，對參與員工持股計劃的員工名單和權益分配方式進行調整。
