首長國際(00697.HK)擬9441萬元收購首中停車33.136%股權 實現非停創新業務協同發展
格隆匯3月27日丨首長國際(00697.HK)宣佈，公司間接全資附屬公司首興智行與首鋼基金就收購事項訂立該協議。
在滿足或豁免該協議規定的先決條件的前提下，首鋼基金將出售、首興智行將收購首中停車33.136%的股權，對應註冊資本人民幣7290萬元，代價為人民幣9441萬元。收購完成後，公司(通過首中投資及首興智行)和公聯安達分別持有首中停車約99.182%和0.818%股權，首中停車將繼續作為公司的附屬公司入賬。
首中停車乃一家合資公司，主要經營機動車停車場管理。首興智行於2019年1月增資人民幣7600萬元後，首中停車註冊資本增加至人民幣2.2億元，其中公司(通過首中投資及首興智行)、首鋼基金和公聯安達分別出資人民幣1.453億元、7290萬元及180萬元。
首中停車於2016年11月由首鋼基金、首中投資、公聯安達就北京大興國際機場停車樓項目成立，運營管理機場停車樓。於2019年6月，公司成功簽約大興機場出租車停車場，據此獲得大興機場停車設施全部運營權。
作為中國超大型國際航空綜合運輸樞紐，大興機場擁有世界上最大的單體航站樓，其遠期規劃年旅客吞吐量為1億人次。大興機場和停車樓於2019年9月26日投入運營。
於2019年1月首興智行完成增資後，首中停車在大興機場的非停創新業務方面，特別是廣告業務上，取得重大突破，使首中停車的項目預期收益率明顯提升。增加持有首中停車的股權不僅將使公司獲得更佳的回報，更將有利於公司創新業務的整體發展。以大興機場項目為依託，公司將深入挖掘停車流量的價值，並與其他停車項目形成網絡化效應，實現非停創新業務的協同發展。
公司將同時運營北京兩座機場的停車樓(場)，約15,000個停車位。公司將成為北京機場領域唯一的停車服務商，形成"一市兩場"的格局。在運營這兩個機場停車場項目時，公司將通過整合運營，為客户提供更加多元化、個性化、科技化的停車產品，將停車向創新業務方向延伸，打破傳統停車模式，實現"智能平台+無限零售+媒體感知+信用生活"，在停車空間中植入適配的停車產品，提升停車資產價值，提升客户體驗，打造停車行業"十倍好"標杆項目。
同時運營兩個機場項目可以為首中停車帶來明顯的規模效益，如降低單位運營成本等。此外，品牌效應也將有助於公司未來的業務發展和企業形象。
首興智行於首中停車增資後，公司將更深入地參與大興機場項目。除通過規模經濟效應及品牌效應而獲得較高的經濟效益外，還將更好地積累交通樞紐類停車項目的運營管理經驗，公司希望在此領域繼續擴大領先優勢。
