ESR(01821.HK)：投資者向ESR Australia Logistics Partnership作出4.5億澳元資本投資承諾
格隆匯3月27日丨ESR(01821.HK)公佈，於2020年3月26日，ESR Investment Management 1（Australia) Pty Limited（作為ESR Australia Logistics Partnership的受託人）、ESR InvestmentManagement 2（Australia）Pty Limited（作為ESR Co-Invest Trust的受託人）及One Funds Management Pty Limited（ESR認購人）（作為ESR QueenslandHold Trust的受託人）與一名國際機構投資者訂立一項承諾契據，據此，投資者同意向ESR Australia Logistics Partnership作出一項總額為4.5億澳元的資本承諾，投資者將因而獲得該合夥企業基金單位的45%權益。
投資者將會透過根據一項於2020年3月26日訂立的基金單位銷售協議以總代價1.48億澳元收購ESR Co-Invest Trust間接持有ESR AustraliaLogistics Partnership 45%基金單位的方式，支付根據投資者承諾契據作出的初始資本承諾。
基金單位銷售協議完成後，集團將失去對ESR Australia Logistics Partnership的會計控制權，而ESR Australia Logistics Partnership將不再於公司的綜合財務報表內入賬列為公司的附屬公司。集團將把其對ESR Australia LogisticsPartnership淨資產的55%權利確認為投資，並採用權益會計法入賬。於2020年3月26日，ESRIM1、ESRIM2及ESR認購人訂立一項承諾契據，據此，ESR Co-Invest Trust同意向ESR Australia Logistics Partnership作出一項總額為10億澳元的資本承諾。
公司稱，以投資者及集團作出的投資成立ESR Australia Logistics Partnership作為一間新的核心增益物流合夥企業乃符合集團將資產負債表的資產轉為其管理的新基金及投資公司的資本循環戰略。
