聞泰科技(600745.SH)擬63.34億元購買合肥裕芯股東之上層出資人的有關權益份額
格隆匯3月25日丨聞泰科技(600745.SH)公佈，公司擬通過發行股份及支付現金的方式分別收購合肥裕芯的4名股東(即4支境內基金)之上層出資人的有關權益份額。其中，包括寧波益穆盛、合肥廣韜、寧波廣宜等3支基金中建廣資產、北京中益作為GP擁有的全部財產份額和相關權益，以及北京廣匯、寧波益穆盛、合肥廣韜、寧波廣宜等4支基金之LP的全部財產份額和相關權益。
本次交易中，擬全部採用股份對價的交易對方為：1、合肥芯屏，持有北京廣匯99.9521%的LP財產份額和相關權益(前次交易中建廣資產、合肥建廣持有的暫未交割的北京廣匯GP財產份額及相關權益在本次交易中無條件交割予上市公司指定第三方)；2、建廣資產，持有寧波益穆盛、合肥廣韜、寧波廣宜的GP財產份額和相關權益。
本次交易中，擬採用股份及現金對價的交易對方為：1、袁永剛，持有寧波益穆盛99.9944%的LP財產份額和相關權益；2、寧波中益，持有合肥廣韜99.9972%的LP財產份額和相關權益；3、寧波益昭盛，持有寧波廣宜99.9769%的LP財產份額和相關權益；4、北京中益，持有寧波益穆盛、合肥廣韜、寧波廣宜的GP財產份額和相關權益。
本次交易前，上市公司已合計持有合肥裕芯74.46%的權益比例，並間接持有安世集團的控制權。本次交易完成後，上市公司將合計持有合肥裕芯98.23%的權益比例，並間接持有安世集團98.23%的權益比例。
上市公司擬向全體交易對方以發行股份及支付現金的方式購買其持有的標的資產，交易對價為63.34億元。上市公司擬以現金方式支付交易對價1.5億元。上市公司擬以發行股份的方式支付交易對價61.84億元，總計發行股份數為6826.7995萬股。本次發行股份購買資產的發行價格為90.58元/股。本次募集配套資金總額不超過5.8億元，配套融資的發行股份數量不超過3.37億股。
