羅牛山(000735.SZ)：聚焦畜牧主業 剝離房地產業務
格隆匯3月24日丨羅牛山(000735.SZ)公佈，公司作為海南省內最大的生豬養殖企業，一直致力於“菜籃子”工程，打造生豬養殖全產業鏈，以龍頭企業帶動海南省生豬養殖產業的發展。受豬瘟疫情影響，目前海南島內的生豬供給已出現缺口，為充分發揮區位優勢，踐行上市公司社會責任，公司制定了以生豬養殖為核心，屠宰加工及肉製品業務、冷鏈服務業務外延擴張的畜牧產業鏈發展方針。
2020年3月7日，海南省委辦公廳、省政府辦公廳印發了《關於建立房地產市場平穩健康發展城市主體責任制的通知》，創新提出發展安居型商品住房，對在我省已擁有2套及以上住房的本省户籍和常住居民家庭(含夫妻雙方及未成年子女)，停止向其銷售安居型商品住房和市場化商品住房，並規定新出讓土地建設的商品住房實行現房銷售制度。受到上述宏觀政策對地產行業的消極影響以及資本市場對地產行業的消極預期，房地產業務後續發展空間有限，且會對公司後續資本運作造成障礙。
因此，經公司管理層慎重考慮，決定將公司房地產業務相關資產進行轉讓並根據轉讓進度適時取消房地產開發資質，實現公司聚焦畜牧主業，重回畜牧養殖業第一梯隊的經營目標。
公司擬將持有的羅牛山廣場(也稱：愛華地塊)及羅牛山118C項目(也稱“璞域一期”)的全部資產(包括：相關的土地使用權及地上建築物和其他附着物)增資至全資子公司海南錦地房地產有限公司(“錦地地產”)；公司將向公司控股股東羅牛山集團有限公司(“羅牛山集團”)轉讓錦地地產100%股權，並由錦地地產申請房地產臨時開發資質完成上述項目的後續開發。
上述擬轉讓標的為公司與祥源控股集團有限公司(“祥源控股”)的合作開發項目，祥源控股與公司解除合作關係後，其與擬轉讓標的相關的權利義務由羅牛山集團承接，具體內容由羅牛山集團與祥源控股另行商定，公司將做好協調工作。
