中國船舶(600150.SH)：重組涉及的標的資產已完成過户
格隆匯3月24日丨中國船舶(600150.SH)公佈，公司於2020年2月25日收到中國證監會核發的《關於核准中國船舶工業股份有限公司發行股份購買資產並募集配套資金的批覆》。截至本公告日，本次重大資產重組涉及的標的資產已完成相關交割及過户手續。具體情況如下：
2020年3月23日，江南造船(集團)有限責任公司(以下簡稱“江南造船”)取得上海市市場監督管理局出具的《准予變更(備案)登記通知書》，准予將100%股權由原股東變更登記至中國船舶名下。同時江南造船取得了上海市市場監督管理局換髮的《營業執照》(統一社會信用代碼：913100001322043124)。本次交易涉及購買標的資產江南造船的過户事宜已辦理完畢，公司已持有江南造船100%股權，江南造船已成為公司的全資子公司。
2020年3月19日，廣船國際有限公司(以下簡稱“廣船國際”)取得廣州市市場監督管理局出具的《准予變更登記(備案)通知書》，准予將51%股權由原股東變更登記至中國船舶名下。本次變更完成後，中國船舶持有廣船國際51%的股權，廣船國際已成為公司的控股子公司。
2020年3月20日，中船黃埔文衝船舶有限公司(以下簡稱“黃埔文衝”)取得廣州市市場監督管理局出具的《准予變更登記(備案)通知書》，准予將30.9836%股權由原股東變更登記至中國船舶名下。本次變更完成後，公司直接持有黃埔文衝30.9836%股權。
2020年3月24日上海外高橋造船有限公司(以下簡稱“外高橋造船”)取得了上海市浦東新區市場監督管理局於2020年3月23日出具的《准予變更(備案)登記通知書》，准予將原股東36.2717%股權變更登記至中國船舶名下。外高橋造船取得換髮的《營業執照》(統一社會信用代碼：913101156314236324)。本次交易涉及購買標的資產外高橋造船的過户事宜已辦理完畢，公司已持有外高橋造船100%股權，外高橋造船已成為公司的全資子公司。
2020年3月19日，中船澄西船舶修造有限公司(以下簡稱“中船澄西”)取得江陰市行政審批局出具的《公司准予變更登記通知書》，准予將原股東21.4598%股權變更登記至中國船舶名下，中國船舶持有中船澄西100%股權。中船澄西取得了江陰市行政審批局換髮的《營業執照》(統一社會信用代碼：91320281142243024W)。本次交易涉及購買標的資產中船澄西的過户事宜已辦理完畢，公司已持有中船澄西100%股權，中船澄西已成為公司的全資子公司。
