山西汾酒(600809.SH)擬向全資子公司竹葉青公司增資6億元
格隆匯3月24日丨山西汾酒(600809.SH)公佈，公司召開第八屆董事會第三次會議，審議通過《關於對山西杏花村竹葉青酒營銷有限責任公司增加註冊資本的議案》。
為全面推動竹葉青大健康產業項目落地，加速推進竹葉青的改革發展進程，打造“中藥材平台+竹葉青數字化供應鏈平台+資本平台”的竹葉青大健康產業特色發展集羣，會議同意以現金方式對全資子公司山西杏花村竹葉青酒營銷有限責任公司(“竹葉青公司”)增資6億元，增資完成後註冊資本為6.6億元。注入資金將用於竹葉青品牌建設投入、市場渠道投入、新品研發投入以及特色中藥材創新板塊投入，並對竹葉青全產業鏈進行產供銷研一體化的數字化提升。
該項目將有效促進竹葉青酒市場規模持續擴張，品牌價值不斷提升。未來，竹葉青堅持打造“草本健康”引領自然健康生活的全產業鏈體系，聯合打造竹葉青生態種植、旅遊、康養基地，形成集羣化發展效應，全方位服務消費者的健康訴求。
酒類市場與健康類食品、飲品市場屬於完全競爭性市場，隨着中國製造業持續升級，市場競爭逐漸進入白熱化的整合階段，因此，項目面臨一定的市場競爭風險。公司計劃通過細分市場、產品差異化重塑、拓展新圈層、強化“事業合夥人”制等舉措降低市場競爭風險。
此外，審議通過《關於修訂山西杏花村竹葉青酒營銷有限責任公司<章程>的議案》。修訂內容如下：
(1)竹葉青公司名稱變更為：山西杏花村竹葉青產業有限責任公司(暫定名，以工商註冊核准為準)
(2)竹葉青公司註冊地址變更為：山西省太原市小店區長風街132號
(3)竹葉青公司經營範圍變更為：竹葉青、竹葉春、玫瑰汾酒、白玉汾酒及其它保健酒、配製酒、露酒的生產、銷售，副產品酒糟、生產用原輔材料和包裝材料的銷售；普通道路貨物運輸；塑料製品加工銷售；技術及貨物進出口(不含國家限制類)。酒類高新技術及產品研究、開發、生產、應用；投資辦企業及相關諮詢服務；生物與醫藥、生物工程及生物製品研製、開發、銷售；衞生產品、保健(食)品、藥品的科技研究與開發；中藥材投資；電子商務。(經營範圍以工商核准為準)
