平安證券集團控股(00231.HK)董事涉未經授權交易內幕消息及林紅橋暫停職務
格隆匯3月24日丨平安證券集團控股(00231.HK)發佈公告，董事會近期發現2019年與轉讓SH Asset Management（公司的間接全資附屬公司）及SH Fund的股份有關的未經授權交易。未經授權交易是在並未於相關時間通知董事會或事先獲得董事會批准的情況下進行。董事會已議決授權獨立非執行董事黃以信先生及孫多偉先生組成特別調查委員會，以就與未經授權交易有關的事宜進行調查，並審查集團的內部監控系統。
於訂立第一宗未經授權交易的關鍵時刻，林紅橋先生（執行董事）及龔卿禮先生（前執行董事兼前首席執行官）是Earnest Wish Limited、SHAsset Management及SH Fund的時任董事。儘管董事會一再要求╱質詢，但彼等未能為第一宗未經授權交易提供足夠詳情及理由。監於將由特別調查委員會進行之調查，董事會已議決暫停林紅橋先生於集團中的所有行政職能及職務，以待特別調查委員會的調查結果。
據悉，第一宗未經授權交易：有關按1.00美元轉讓SH Asset Management（公司的間接全資附屬公司）100%股權的買賣協議由Vulture Capital Management Limited（買方）與Earnest Wish Limited（公司的間接全資附屬公司）（賣方）於2019年9月25日訂立，而隨後轉讓於2019年10月15日被取消及撤回。
及第二宗未經授權交易：有關按1.00美元轉讓管理股份的買賣協議由SH Asset Management及Wong Yi Na（買方）於2019年11月6日訂立，以及自2019年11月28日起，Wong Yi Na登記為SH Fund股東名冊的管理股份持有人，儘管直至本公告日期，SHAsset Management從未收到1.00美元代價以及據稱存在一項信託安排。
