東山精密(002384.SZ)：深圳東山及袁永剛終止轉讓寧波益穆盛99.9944%出資份額
格隆匯3月23日丨東山精密(002384.SZ)公佈，2019年12月和2020年1月，東莞東山精密製造有限公司(“東莞東山”)、深圳東山精密製造有限責任公司(“深圳東山”)與公司控股股東、實際控制人袁永剛簽署了《資產購買協議書》、《資產購買協議書之補充協議》(以下合稱“資產購買協議”)。根據資產購買協議，東莞東山擬向深圳東山購買寧波梅山保税港區益穆盛投資合夥企業(有限合夥)(“寧波益穆盛”)的99.9944%出資份額(“交易標的”)。截至公告出具日，前述資產購買協議尚未生效，交易標的尚登記在袁永剛名下。
近日，公司收到寧波益穆盛普通合夥人北京中益基金管理有限公司(“中益基金”)出具的《説明函》，以及深圳東山及袁永剛出具的《説明函》。
一、中益基金出具的《説明函》的主要內容
資產購買協議的生效需取得寧波益穆盛兩位普通合夥人的一致同意方可生效，由於兩位普通合夥人無法就此次轉讓相關事宜達成一致意見，此次轉讓協議的生效條件已無法滿足，此次轉讓應予以終止。
二、深圳東山及袁永剛出具的《説明函》的主要內容
1、根據寧波益穆盛普通合夥人中益基金於近日出具的《説明函》，由於寧波益穆盛兩位普通合夥人無法就此次轉讓相關事宜達成一致意見，此次轉讓協議的生效條件已無法滿足，此次轉讓應予以終止。根據資產購買協議約定，資產購買協議的生效條件包括取得寧波益穆盛普通合夥人同意此次轉讓，且目前寧波益穆盛的出資份額仍在袁永剛名下，基於上述原因，深圳東山及袁永剛特向貴司確認，此次轉讓協議的生效條件已無法滿足，此次轉讓應予以終止。
2、雖然此次轉讓無法繼續實施，但是本人認可資產購買協議的交易精神。本着維護東山精密和東莞東山利益的目的，袁永剛將盡快採取一切可行措施處置其名下的寧波益穆盛出資份額，並將處置所得在符合法律法規規定的前提下優先用於深圳東山償還對東莞東山的債務，充分保障上市公司利益。
