英飛特(300582.SZ)：擬400萬美元投資Agrify公司
格隆匯3月23日丨英飛特(300582.SZ)公佈，公司作為大功率LED照明驅動電源的行業領導者之一，積累了品牌、產品、技術、產能等方面的優勢，各類產品暢銷全世界80多個國家和地區。Inventronics 在深耕國際市場的同時，也充分利用各項競爭優勢，努力在LED照明的細分應用領域滲透利基市場，以提高公司整體盈利能力。
因此公司擬以400萬美元認購AGRIFY CORPORATION,INC(“Agrify公司”)新發行的4萬股A系列可轉換優先股。
公司控股股東、實際控制人、董事長GUICHAO HUA任Agrify公司董事，同時，GUICHAO HUA通過4DNXT Capital, LLC(“4DNXT”)間接持有Agrify公司17.08%的已發行普通股。公司董事QING CHEN通過4DNXT間接持有Agrify公司4.35%的已發行普通股。4DNXT公司的股東華霄翔通過4DNXT間接持有Agrify公司3.06%的已發行普通股，華霄翔與公司董事華桂林系父子關係。故此次交易構成關聯交易。
AGRINAMICS, INC.(本次交易標的公司曾用名)於2016年06月06日在美國內華達州完成商業註冊登記。2019年9月16日，“AGRINAMICS, INC.”將其名稱變更為“AGRIFY CORPORATION”。Agrify公司的主營業務是為各類高附加值的經濟作物，尤其是大麻類植物提供室內種植解決方案，幫助園藝師生產高品質、低農殘的作物，並有效保持作物在不同批次的一致性，單位產能顯著高於市場同類解決方案。Agrify公司自身不進行植物種植，不從事任何直接處理工業大麻的業務，旨在通過基於人工智能、大數據的種植解決方案幫助客户最大化產量，生產高質量的農作物，並提高盈利能力。公司的產品類型主要包括垂直種植單元(VFU)、LED植物照明模組、家用集成種植箱等硬件設備，以及自主研發、源代碼受知識產權保護的人工智能軟件控制系統。Agrify公司目前計劃將設備和軟件服務(SaaS)出售給獲得許可的工業大麻生產商，還計劃向符合條件的此類客户提供設備融資。Agrify公司採用輕資產的方式運營，辦公場地、營業場地、倉儲場地為租賃物業。Agrify公司主要客户為擁有較大室內種植面積的農場主。Agrify公司收入主要分三大塊,具體為：(1)硬件；(2)軟件服務(SaaS)；(3)應收賬款融資。
此次對外投資是基於對全球室內種植、特別是工業大麻室內種植市場前景的看好，以及Agrify公司的研發及運營管理能力的認可，期望從此次交易中獲取較好的投資回報。同時可充分整合公司在LED驅動電源領域的資源等進一步拓展公司在細分應用領域利基市場佈局，增強持續盈利能力。
