東方盛虹(000301.SZ)擬推第一期員工持股計劃 籌集資金總額不超6.08億元
格隆匯3月23日丨東方盛虹(000301.SZ)披露第一期員工持股計劃(草案)，該員工持股計劃初始擬籌集資金總額不超過6.08億元，其中員工自籌資金不超過3.04億元，擬通過金融機構融資不超過3.04億元，融資資金與自籌資金的比例不超過1:1。
公司員工參與該員工持股計劃的資金來源為員工合法薪酬、自籌資金以及法律法規允許的其他方式。上市公司不存在向員工提供財務資助或為其貸款提供擔保的情形。公司控股股東盛虹科技或其母公司擬為金融機構融資的本金和預期收益提供連帶擔保責任，為員工自籌資金提供託底保證，在扣除相關税費後，保證員工出資的部分按單利計算年化收益率不低於8%。
該員工持股計劃完成後，東方盛虹全部有效員工持股計劃所持有的股票總數累計將不超過公司股本總額的10%；任一持有人所持有該員工持股計劃份額所對應的標的股票數量不超過此次公司股本總額的1%。該員工持股計劃的參加對象均需符合公司制定的標準，並經董事會確認、監事會核實。最終實際參加人數根據員工實際繳款情況確定。
以2020年3月20日的股票收盤價4.80元/股測算，該員工持股計劃所能購買和持有的東方盛虹股份數量上限為12666.67萬股，佔公司現有股本總額的3.14%。此次員工持股計劃最終購買的股票價格及股票數量以實際交易結果為準。
如果因股價變動導致東方盛虹全部有效員工持股計劃所持有的股票總數累計超過公司股本總額的10%，該員工持股計劃將調整持有的股票數量確保東方盛虹全部有效員工持股計劃持有的股票總數不超過公司總股本的10%。如果因股價變動導致任一員工所獲取股份權益對應的股票總數可能超過公司總股本的1%，董事會應調整持有人持有的份額，確保任一員工所獲取股份權益對應的股票總數不超過公司總股本的1%。
該員工持股計劃的存續期為36個月。員工持股計劃通過二級市場購買公司股票鎖定期為12個月，自公司公告最後一筆股票過户至該員工持股計劃名下時起算。該員工持股計劃在存續期屆滿後未展期則自行終止。鎖定期滿後，管理委員會與受託人將根據信託合同或資產管理合同的約定，適時賣出公司股票。
參加該員工持股計劃的範圍為經董事會認可的上市公司及其控股子公司中層及中層以上人員，以及由董事會決定的其他人員，參加對象應當在公司或下屬控股子公司工作，領取薪酬並簽訂勞動合同，總人數不超過 172人，具體參加人數根據員工實際繳款情況確定。
