易居企业控股(02048.HK)拟斥6.6亿元收购上海杨浦区的湾居物业
格隆汇3月22日丨易居企业控股(02048.HK)公布,2020年3月20日,公司的间接全资附属易居企业(中国)集团,拟向嘉兴蔚泰及苏州虞行收购上海湾居的全部合伙权益,总对价人民币6.6亿元。
上海湾居为一间根据中国法律成立的有限合伙企业。嘉兴蔚泰为上海湾居的唯一普通合伙人,苏州虞行为上海湾居的唯一有限合伙人。上海湾居为湾居物业的唯一拥有人,且于截至2019年12月31日止过往两个财政年度并无从事任何重大业务运营。
上海湾居的主要资产为湾居物业,该物业为一栋位于中国上海市杨浦区国权北路1688弄50号的办公楼。湾居物业占地面积约21.64万平方米,总建筑面积约2.87万平方米。根据独立专业估值师基于市场比较法编制的最新估值报告,湾居物业的估值约人民币6.64亿元。
公司计划主要将湾居物业用作其房地产代理人员的培训和教育中心。集团期望通过拥有而非租赁此类培训场所来节省成本。湾居物业亦将用于提供办公空间,以适应集团业务未来的预期增长和扩展。此外,公司亦计划将集团并非即时需要的部分湾居物业出租,以产生租金收入,同时提高湾居物业的利用率。
