晶方科技(603005.SH)擬與睿盈諮詢共同對晶方光電進行增資
格隆匯3月22日丨晶方科技(603005.SH)公佈，為加快產業資源整合，尋求未來發展所需的核心技術與製造能力，推動產業鏈的有效延伸與佈局，公司參與發起設立了蘇州晶方集成電路產業投資基金合夥企業(有限合夥)(“晶方產業投資基金”)，晶方產業投資基金控股設立的蘇州晶方光電科技有限公司(“晶方光電”)於2019年1月完成了對荷蘭Anteryon International B.V.(“Anteryon公司”)的併購。
交割完成後晶方光電持有Anteryon公司73%的股權，並積極開展相關業務與技術的協同整合，一方面持續提升Anteryon公司在光學設計與混合光學鏡頭領域的核心優勢，進一步拓展其在工業、汽車等優勢應用領域的市場規模。同時，將其領先的晶圓級微型光學器件製造技術向晶方光電進行技術移植與創新，從而在國內實現規模量產。
為積極推進晶方光電的技術轉移、產線建設與業務拓展，公司擬與蘇州工業園區睿盈管理諮詢合夥企業(有限合夥)(“睿盈諮詢”)共同對晶方光電進行增資，其中公司增資金額為人民幣4666萬元，出資方式為機器設備及相關無形資產。睿盈諮詢增資金額為人民幣800萬元，出資方式為貨幣資金，上述出資全部計入晶方光電註冊資本，增資完成後晶方光電註冊資本將由6億增加至6.5466億，其中公司此次出資後的持股比例為7.13%。
此次增資將有利於晶方光電的技術移植、產線建設與業務拓展，順利將領先的晶圓級微型光學器件製造技術在國內實現產業化應用，符合公司加快產業資源整合，尋求未來發展所需的核心技術與製造能力，推動產業鏈的有效延伸與佈局的戰略發展規劃。
此次以機器設備及無形資產對外投資不會影響公司的正常生產經營與業務拓展，也不會影響公司日常經營現金流。在評估基準日公司相關機器設備及無形資產賬面價值為1562.21萬元，評估價值為4666.4萬元，評估增值3104.19萬元，增值率為198.71%，公司將根據相關會計準則規定對評估增值確認為資產處置收益，最終財務處理需經年度審計機構審核確定。
