開元酒店(01158.HK)決定重新分配部分未動用所得款項淨額
格隆匯3月22日丨開元酒店(01158.HK)公佈，公告日期，公司未動用的所得款項淨額約9.84億港元。考慮到新型冠狀病毒肺炎對酒店業的持續影響(因商務旅客或遊客的需求下降)及國內商旅消費市場恢復情況的不確定性，公司董事會認為現階段使用所得款項投資開發集團部分疫情嚴重地區酒店不符合商業情理，並考慮到疫情對集團的業務營運及財務表現造成不利影響，誠如公司日期為2020年2月16日的自願公告所披露，為更有效利用所得款項，滿足集團的財務需求，董事會決定重新分配部分未動用所得款項淨額至“一般企業用途及營運資金”及新業務計劃“通過業務收購、業務合作以戰略性發展集團業務”。重新分配的詳情如下：
董事會議決分配未動用所得款項淨額約3.06億港元於“一般企業用途及營運資金”，用於租賃款、貨款、税款等企業日常營運，以補充集團酒店受疫情影響導致的現金流流出。
董事會認為，就酒店行業的中長期而言，公司可以從中國東南、華北等地區取得更大的市場機會，除開發集團高端商務及度假酒店、中檔酒店外，及時把握投資機會，如收購能促進集團擴大客户羣、擴展向市場提供服務、提高集團競爭力的輕資產業務目標，訂立租賃協議及購買裝修，或與酒店資源豐富的管理公司進行合作，經營及管理其擁有的酒店資產等，能有效地擴大集團酒店戰略佈局，加快酒店業務發展速度，乃屬重要。因此，董事會決議分配未動用所款款項淨額2.989億港元用於業務收購、業務合作以策略性擴大集團酒店業務。董事會認為，上述潛在收購目標或業務夥伴應與集團業務產生長期協同效應，藉此董事會將嚴格物色目標並對其背景及管理層團隊進行分析。
董事會認為，上述更改所得款項淨額用途有利於集團業務的持續發展，集團可更有效地運用其財務資源以提高集團的盈利能力，董事會亦考慮到更改所得款項淨額用途，既不會對集團現時業務及營運造成任何重大不利影響，且符合集團及其股東的整體利益。
