未來發展控股(01259.HK)擬收購專業服務公司股權擴展金融服務業務
格隆匯3月20日丨未來發展控股(01259.HK)發佈公告，2020年3月20日，公司間接全資附屬公司Pursuing Future Limited(作為買方)與AG Holding Group Limited(作為賣方)及任亮憲(作為創辦人)訂立收購協議，據此，賣方同意出售目標公司60%股權，代價為4200萬港元。
目標公司Ayasa Globo Financial Services (BVI) Limited為於英屬處女羣島註冊成立的有限公司，其主要從事投資控股。目標公司持有Ayasa Globo(一間於香港註冊成立的有限公司)的全部已發行股份。Ayasa Globo主要從事提供專業服務，如基金設立及管理、法律及税務諮詢及協調、公司及會計服務、信託及受信人服務。Ayasa Globo則持有新加坡公司(一間於新加坡註冊成立的有限公司)的全部已發行股本。新加坡公司主要從事提供業務及諮詢管理及諮詢服務。
根據股東協議，創辦人向買方擔保，目標公司的經審核除税前綜合溢利(如於其截至2020年3月31日、2021年3月31日及2022年3月31日止三個財政年度各年經審核綜合財務報表所示)將分別不會少於850.6萬港元、935.7萬港元及1029.3萬港元。
公告表示，Ayasa Globo主要從事提供專業服務，如基金設立及管理、法律及税務諮詢及協調、公司及會計服務、信託及受信人服務。根據過往財務資料，Ayasa Globo的除税後溢利錄得大幅增加，由截至2018年3月31日止年度的約243萬港元增至截至2019年3月31日止年度的約686萬港元。
完成後，創辦人將繼續擔任Ayasa Globo的總經理，以統籌業務營運。考慮到創辦人在金融服務行業的知識及經驗以及Ayasa Globo於過去兩個財政年度一直獲利，董事會認為，收購事項有助集團多元化其現有業務並擴展至金融服務行業，及擴闊集團的收益基礎及增強集團的財務表現。
