三寶科技(01708.HK)擬4.38億元出售南京動邦60.33%權益
格隆匯3月19日丨三寶科技(01708.HK)宣佈，於2020年3月19日，公司及江蘇中詣擬向中海外出售所持分別於南京動邦持有約60.33%及39.45%股權，代價分別為人民幣4.38億元及人民幣2243.25萬元，合計人民幣4.60億元。
進一步宣佈，於2020年3月19日，公司(作為承讓方)與公司間接附屬公司南京動邦(作為轉讓方)及基金管理人簽訂基金轉讓協議，據此，公司同意購買南京動邦所持有的盱眙基金的全部份額，代價為人民幣4.5億元。根據收購及合作協議，各訂約方同意為中海外提供一項選擇權(，中海外於收購及合作協議生效後90天內，可行使選擇權以決定基金轉讓協議是否失效。如中海外運用選擇權決定基金轉讓協議失效，即中海外繼續通過南京動邦持有盱眙基金。如中海外決定基金轉讓協議生效，即公司根據基金轉讓協議購買南京動邦所持有的盱眙基金，須向南京動邦支付代價人民幣4.5億元。
南京動邦持有徐州廣弘城東綜合管廊建設有限公司("項目公司")的63%權益，該項目公司擁有巳中標徐州市城東大道綜合管廊工程PPP項目。徐州市交通運輸局出具《關於加快推進徐州市城東大道綜合管廊工程PPP項目融資合作的函》，要求項目公司儘快推動該項目的建設，監於該項目預期投資規模較大，須要有較高的資金投入。由於目前國內貨幣政策收緊，民營企業普遍出現資金緊張，融資困難的情況，公司的貸款融資總額自2019年四季度起大幅收緊，影響了公司項目資金的使用安排，公司預期可能無法取得足夠融資支持該項目的運作。故此，公司出售南京動邦將有助舒緩公司需投資於該項目的建設的資金壓力，將對公司整體發展有利。由於中海外收購南京動邦之股權，主要是希望參與徐州廣弘巳中標之徐州市城東大道綜合管廊工程PPP項目，所以公司提供購回盱眙基金的選擇權，公司基於收購基金將可為公司帶來基金的收益回報，同時亦可獲得基金所投資的盱眙港口產業園PPP項目之相關技術服務及機電安裝類業務，這亦有助提升公司業務收入，故此，董事認為，收購及合作協議以及基金轉讓協議乃按公平基準磋商，且按正常商業條款訂立，屬公平合理，並符合公司及其股東的整體利益。
