格隆匯3月18日丨金石資源(603505.SH)披露2019年股票期權與限制性股票激勵計劃。該激勵計劃擬授予激勵對象權益總計432.00萬份，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公告日公司股本總額2.4億股的1.80%，其中，首次授予權益總數為399.20萬份，佔該激勵計劃擬授出權益總數的92.41%，約佔該激勵計劃草案公告日公司股本總額2.4億股的1.66%；預留32.80萬份，佔該激勵計劃擬授出權益總數的7.59%，約佔該激勵計劃草案公告日公司股本總額2.4億股的0.14%。
(一)股票期權激勵計劃：該激勵計劃擬授予激勵對象股票期權181.80萬份，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公告日公司股本總額2.4億股的0.76%。其中首次授予164.00萬份，佔該激勵計劃擬授出股票期權總數的90.21%，約佔該激勵計劃草案公告日公司股本總額2.4億股的0.68%；預留17.80萬份，佔該激勵計劃擬授出股票期權總數的9.79%，約佔該激勵計劃草案公告日公司股本總額2.4億股的0.07%。本計劃下授予的每份股票期權擁有在滿足生效條件和生效安排的情況下，在可行權期內以行權價格購買1股本公司人民幣A股普通股股票的權利。
(二)限制性股票激勵計劃：該激勵計劃擬授予激勵對象限制性股票250.20萬股，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公告日公司股本總額2.4億股的1.04%。其中首次授予235.20萬股，佔該激勵計劃擬授出限制性股票總數的94.00%，約佔該激勵計劃草案公告日公司股本總額2.4億股的0.98%；預留15.00萬股，約佔該激勵計劃擬授出限制性股票總數的6.00%，約佔該激勵計劃草案公告日公司股本總額2.4億股的0.06%。
該激勵計劃授予的股票期權的首次行權價格為20.66元/股，限制性股票的首次授予價格為10.33元/股。該激勵計劃首次授予的激勵對象共計77人，包括公司公告該激勵計劃時在公司(含子公司，下同)任職的董事、高級管理人員、核心技術(業務)人員。不含獨立董事、監事、單獨或合計持股5%以上的股東或實際控制人及其配偶、父母、子女。
