正泰電器(601877.SH)擬出資2.55億元獲得艾臨科51%股權 子公司擬1.81億元收購6個光伏電站項目公司100%股權
格隆匯3月16日丨正泰電器(601877.SH)公佈，公司召開第八屆董事會第八次會議，審議通過了《關於收購上海艾臨科智能科技有限公司部分股權並增資的議案》。
同意公司以現金增資和股權轉讓方式出資人民幣2.55億元投資上海艾臨科智能科技有限公司。其中，公司出資人民幣1.05億元認購艾臨科原有註冊資本300萬元，出資人民幣1.5億元認購艾臨科新增註冊資本428.5714萬元。交易完成後，公司持有艾臨科51%股權。公司董事會同意授權公司管理層辦理此次股權收購的相關事宜。
上海艾臨科智能科技有限公司，於2012年7月13日在嘉定區市場監管局登記成立。通過先進的控制技術及電力電子前沿發展技術為基礎，為用户提供先進可靠的電能質量、配電安全、智能系統集成及其相關的各類產品的設計研發、生產、銷售及服務。艾臨科主要從事諧波治理及無功補償類、電力監控及能源管理系統集成、船舶岸基電源系統、智能家居及捷能照明控制系統、自動轉換開關類、電氣火災及消防設備電源類等產品的研發、生產、銷售及服務。
通過此次收購，將補充公司在電能質量、智能配電和船舶岸電等方面的技術、產品與解決方案能力，提升公司電力電子技術平台水平，增強電器設備全產業鏈的競爭力。
通過此次收購，雙方在產業、資本與研發、市場和渠道、人才等方面形成優勢互補和協同。雙方將充分把握電力行業發展機遇，重點拓展電能質量治理，智能配電技術的行業應用，提升公司能源管理的數字化水平與業務核心競爭力。
此外，審議通過了《關於全資子公司收購光伏電站資產的議案》。同意全資子公司浙江正泰新能源開發有限公司與江西順風光電投資有限公司(“江西順風”)、上海順能投資有限公司(“上海順能”)簽訂股權轉讓協議，收購6個光伏電站項目公司100%股權，涉及光伏項目備案容量共計140MW，交易總價約1.81億元。
具體交易標的為：阿克蘇大唐新能源有限公司(“阿克蘇大唐”)、嶽普湖高科新能源發電有限公司(“嶽普湖高科”)、和碩恆鑫新能源科技有限公司(“和碩恆鑫”)、吐魯番聯星新能源有限公司(“吐魯番聯星”)、温宿縣日月輝新能源有限公司(“温宿日月輝”)、和靜益鑫新能源科技有限公司(“和靜益鑫”)。
通過此次收購，公司電站結構及區域佈局進一步優化，光伏領域業務得到進一步拓展；此次收購符合公司發展戰略，有助於公司進一步增強競爭力。
