桐昆股份(601233.SH)擬以募集資金增資2家子公司以實施募投項目
格隆匯3月16日丨桐昆股份(601233.SH)公佈，公司此次公開發行可轉換公司債券投資項目之一為全資子公司桐昆集團浙江恆超化纖有限公司(以下簡稱“恆超公司”)年產50萬噸智能化超仿真纖維項目。
因恆超公司項目建設需要，同時考慮到全資境外孫公司鵬裕貿易有限公司(以下簡稱：“鵬裕貿易”)的資金狀況，本次增資擬由公司單獨向恆超公司增資，鵬裕貿易不再增資。公司擬對恆超公司實繳出資2.45億美元，其中2502萬美元為實繳首次註冊資本未繳足部分，2.2億美元為實繳本次新增註冊資本部分。其中此次可轉債募集資金出資部分不超過人民幣16.88億元(含募集資金存儲在桐昆股份募集資金賬户的利息)，其餘如有不足部分，桐昆股份以自有資金出資。
本次增資完成後，桐昆股份對恆超公司認繳出資3.1億美元，實繳出資3.1億美元，持股比例為96.875%，鵬裕貿易對恆超公司認繳出資1000萬美元，持股比例為3.125%，實繳出資722萬美元，不足部分尚待實繳。恆超公司的註冊資本由原來的1億美元增加至3.2億美元。
公司此次公開發行可轉換公司債券投資項目之一為桐昆集團浙江恆騰差別化纖維有限公司(以下簡稱“恆騰公司”)年產30萬噸綠色纖維項目。
因恆騰公司項目建設需要，本次擬由桐昆股份和恆隆國際同比例向恆騰公司增資。桐昆股份本次增資金額為6億元人民幣，以出資日人民幣兑美元匯率折算的4851.50萬美元增資款計入恆騰公司註冊資本，剩餘部分計入恆騰公司的資本公積；恆隆國際貿以美元出資，其中計入新增註冊資本部分為148.50萬美元，剩餘部分計入資本公積。
本次增資完成後，桐昆股份對恆騰公司認繳出資3.88億美元，實繳出資3.88億美元，持股比例為97.03%，恆隆國際對恆騰公司認繳出資1188萬美元，實繳出資1188萬美元，持股比例為2.97%。恆騰公司的註冊資本由原來的3.5億美元增加至4億美元。
