《复牌公告》锦州银行(00416.HK)增发内资股募120.9亿人民币
锦州银行(00416.HK)公布,建议向成方汇达及辽宁金控发行合共62亿股新内资股,每股作价1.95元人民币,折算约2.165港元,较H股停牌前折让10.91%。集资净额120.9亿人民币(约134.2亿港元),拟用於补充核心一级资本。
完成後,成方汇达及辽宁金控分别持有该行扩大後总股本37.69%及6.65%。
声明披露,建议重大资产重组计划主要包括:建议定向增发;向成方汇达出售本金账面约1,500亿人民币的若干资产;及认购由一间辽宁金控及存款保险基金管理所控制企业发行的本金额约750亿人民币的定向债务工具。至今,计划尚在进行讨论及磋商,因此可能发生变动。
公司股份申请周三(11日)恢复买卖。
