熊貓金控(600599.SH)：久利信息股權轉讓變更登記已被磴口縣市場監督管理局撤銷
格隆匯3月11日丨熊貓金控(600599.SH)公佈，2020年3月11日，公司接到浩長諮詢口頭通知，磴口縣市場監督管理局於2019年12月20日向久利信息出具了《撤銷許可聽證告知書》，磴口縣市場監督管理局將依職權撤銷久利信息於2019年12月12日的變更登記。依據《市場監督管理行政處罰聽證暫行辦法》，久利信息有權進行陳述、申辯，並可要求舉行聽證。
根據上述告知書，久利信息於2019年12月27日向磴口縣市場監督管理局提交了聽政許可申請，並於2020年1月6日舉行了關於此次撤銷許可的聽證會。2020年1月20日，磴口縣市場監督管理局對久利信息下發了《撤銷行政許可決定書》，認為熊貓資本管理有限公司在申請辦理變更登記時隱瞞其已被北京市東城區分局經偵支隊立案的情況，從江西遷入內蒙。同時此次股權變更的受讓方浩長諮詢為自然人獨資的一人有限公司，其100%受讓股權違反了《中華人民共和國公司法》相關規定，為不符合法定條件的申請人，決定撤銷久利信息於2019年12月12日變更登記的行政許可。久利信息如對上述決定不服，可於收到決定書之日起六十日內向磴口縣人民政府或巴彥淖爾市市場監督管理局申請行政複議，也可於收到決定書之日起六個月內依法向磴口縣人民法院提起訴訟。行政複議或者行政訴訟期間上述決定不停止執行。
公司收到浩長諮詢上述通知後，立即在國家企業信用信息公示系統查詢了上述信息，得知上述股權轉讓變更登記確已被撤回，目前，久利信息股東已變回至熊貓金控股份有限公司。
經瞭解，久利信息收到上述決定書之後，正在積極準備通過行政複議或行政訴訟的方式繼續推進此次股權變更，此次變更登記撤銷暫時不會影響公司與浩長諮詢對久利信息《股權轉讓協議》的履行和此次交易的實施，但此次交易最終能否實施完成存在較大不確定性。
如此次交易最終不能實施完成，此次交易對公司 2019年度利潤表影響數445.62萬元(具體金額以經審計數據為準)將衝回，公司2019年度淨利潤將增加虧損445.62萬元。
