延安必康(002411.SZ)：相關信披存不完整、不準確問題 收到陝西證監局警示函
格隆匯3月11日丨延安必康(002411.SZ)公佈，2020年3月11日，公司收到中國證券監督管理委員會陝西監管局(“陝西證監局”)下發的《關於對延安必康製藥股份有限公司採取出具警示函措施的決定》（陝證監措施字[2020]6號）及《關於對谷曉嘉、香興福、蘇熳採取出具警示函措施的決定》(陝證監措施字[2020]7號)。現將主要內容公告如下：經查，公司存在以下信息披露不完整、不準確問題：
(一)2020年2月5日，公司披露《關於收到加快口罩等疫控防護品生產緊急通知的公告》，稱將盡快完成醫護級口罩和防護服生產線的改造，提前做好上游原材料採購、運輸等生產保障工作等，但未披露尚不存在口罩生產業務、尚未取得相關生產資質等可能對股價產生重大影響的重要信息，存在信息披露不完整的情形。經督促，公司於2月6日補充披露上述相關信息並揭示風險。
(二)2020年2月7日，公司披露《關於簽署戰略合作協議的公告》，稱擬與深圳市圖微安創科技開發有限公司(“圖微安創”)“建立緊密的戰略合作伙伴關係”，稱肺纖維化是新型冠狀病毒疾病的重要特點，是重要臨牀表現之一等，還稱圖微安創已經開發出對肺纖維化具有良好治療逆轉作用的多肽藥物，並表示其藥物治療“相關的生物指標逆轉在80%以上，屬於全球首創”“未來有望成為治療肺纖維化領域的明星藥物”，圖微安創設計並研發的多肽藥物“在應對當下新型冠狀病毒肺炎患者的治療以及未來出院病人進一步的康復治療具有重要臨牀價值。”但公司未明確説明作出上述判斷的依據，未對相關藥物研製的時間過程、後續研發、審批程序等重要信息進行披露，未客觀披露產品情況，且未進行風險提示，存在信息披露不完整、不準確的情形。經督促，公司於2月11日補充披露上述相關信息。
上述事項，違反了《上市公司信息披露管理辦法》(證監會令第40號，以下簡稱“《辦法》”)第二條第一款的規定，谷曉嘉、香興福、蘇熳作為延安必康時任董事長、總經理、董事會祕書，對上述信息披露問題負有主要責任。根據《辦法》第五十八條第二款、第五十九條的規定，陝西證監局決定對上述人員及公司採取出具警示函的監管措施。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請；也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
公司收到警示函後高度重視，已向公司管理層進行了傳達。公司及相關人員將以此為戒，認真吸取經驗教訓，按照警示函要求積極進行整改，加強上市公司法律法規和規範性文件的學習，進一步提升公司規範運作水平，依法切實履行信息披露義務，杜絕此類事件的再次發生，促進公司健康有序發展，更好地維護和保障投資者權益。
