天原集團(002386.SZ)與攀枝花國投集團簽訂戰略合作框架協議
格隆匯3月9日丨天原集團(002386.SZ)公佈，鈦礦是鈦白粉生產的主要原料之一，攀西地區鈦礦是國內鈦化工產業發展的重要戰略資源，是實現原料國產化競爭戰略的重要支撐。公司(甲方)為加快鈦白粉全產業鏈的拓展，充分實現鈦礦原料的分級利用，擬在攀西地區進行相關產業佈局，減少對進口鈦礦原料的使用，構建更完善、更具競爭力的循環經濟產業鏈。
近日，公司與攀枝花市國有投資(集團)有限責任公司(攀枝花國投集團、乙方)簽訂了《戰略合作框架協議》。甲、乙雙方秉持“高度互信、優勢互補、合作共贏”的原則，充分發揮各自的資源和優勢，圍繞鈦產業領域在產業併購重組、產業資源整合、市場開發、鈦化工新技術開發等方面開展戰略合作，以實現資源共享、優勢互補、平等互利、共謀發展。合作協議主要內容如下：
1、產業併購重組：甲、乙雙方採用合作組建併購基金或SPV公司等方式，針對雙方達成共識的標的企業開展併購重組資本運作。
2、產業鏈服務：甲方充分發揮其在鈦產業領域的品牌、經營和銷售渠道優勢，乙方利用在金融服務和資本運營中所掌握的鈦產業企業運營、資信和核心資產等情況，積極推動從鈦礦到鈦白粉終端用户的全產業鏈服務，逐步實現對鈦產業鏈上下游資源的充分整合。
3、產業資源整合：甲、乙雙方就順應產業轉型升級趨勢，打造集產品交易中心、倉儲物流中心、信息數據中心和金融服務中心四位一體的現代產業服務平台體系達成高度共識。雙方發揮各自優勢，秉承開發、共享、合作理念，共同建設運營產業平台，抓住鈦產業轉型發展的重大機遇。
攀枝花國投集團是攀枝花國資委的全資子公司，是攀枝花政府產業投資和運營平台，此次合作協議的簽署，有利於雙方整合和發揮各自資源優勢，在產業併購重組、產業資源整合、產業鏈服務等多領域開展深度合作。藉助攀枝花國投集團在當地的資源及影響力，加快實現公司在攀西地區鈦礦資源的佈局、鈦白粉產業的併購、鈦化工新技術的研發以及市場拓展，提升公司鈦產業的市場競爭力，助推公司轉型發展。
合作協議的簽署不會對公司本年度財務狀況及經營業績構成重大影響。從長期來看，該合作協議的簽署會給公司帶來積極影響，有利於加快公司鈦化工產業佈局和結構優化，為公司鈦化工產業的高質量發展提供戰略支撐，符合公司的長期發展戰略和全體股東利益。
