隴神戎發(300534.SZ)：甘肅藥業集團已向三元藥業提供疫情防控物資採購借款2650萬元
格隆匯3月6日丨隴神戎發(300534.SZ)公佈，2020年1月新型冠狀病毒感染的肺炎疫情(“新冠疫情”)暴發以來，為貫徹落實習近平總書記對新冠疫情防控工作作出的重要指示精神，按照黨中央、國務院關於疫情防控的決策部署，甘肅省委、省政府對做好甘肅省疫情防控工作做出全面部署，併成立“甘肅省新型冠狀病毒感染的肺炎疫情聯防聯控領導小組”，下設物資保障專責組辦公室(“省疫情防控物資保障辦公室”)，負責全省新冠疫情防控物資保障工作。
2020年1月31日，根據甘肅省疫情防控部署，為緩解我省疫情防控工作中防護物資緊缺情況，省疫情防控物資保障辦公室向公司控股股東甘肅藥業投資集團有限公司(“甘肅藥業集團”)出具《委託函》，委託公司控股股東甘肅藥業集團通過海外及國內各種途徑，採購甘肅省疫情期間防控緊缺物資(N95口罩、醫用外科口罩、丁腈手套、橡膠手套、醫用連體防護服、防霧護目鏡／防護面罩、醫用靴套、隔離衣、膠靴、醫用帽子等)，並協調有關流通企業採購事宜，每批次採購信息及時報物資保障專責組辦公室。
同日，甘肅藥業集團向公司控股子公司蘭州三元藥業有限責任公司(“三元藥業”)出具《委託採購授權書》，委託三元藥業負責具體實施甘肅省疫情防控物資採購事宜，緊急採購抗疫情醫用防護用品及藥品。由於前期疫情防控形勢的嚴峻，以及疫情防控物資採購的緊要性，為保障疫情防控物資採購工作的順利實施，同時考慮疫情防控工作的複雜性和持續性，上述疫情防控物資採購事項已在省疫情防控物資保障辦公室的領導下緊急開展采購相關工作。
同時，為保障疫情防控物資的順利採購，有效滿足採購資金的週轉需求，甘肅藥業集團已向三元藥業分4次提供疫情防控物資採購借款合計2650萬元，借款期限不超過6個月；此次財務資助為無償提供，該資金專項用於甘肅省疫情防控物資採購。
甘肅藥業集團為公司控股股東，持股比例為26.10%，三元藥業為公司控股子公司，持股比例為51%，公司董事長康海軍先生任甘肅藥業集團副總經理，公司董事王賢斌任甘肅藥業集團董事、黨委副書記，公司董事白光強在公司間接控股股東甘肅省國有資產投資集團有限公司(“甘肅國投”)控制的企業任職。根據《深圳證券交易所創業板股票上市規則》的相關規定，此次交易構成關聯交易。
