中國飛機租賃(01848.HK)擬2800萬美元認購Aviation Synergy的72.82%股權
格隆匯3月5日丨中國飛機租賃(01848.HK)公佈，於2020年3月4日，認購方CALC IDN Limited（公司的全資附屬公司）與Aviation Synergy、Equal Honour及Smart Aviation訂立《認購協議》，據此，認購方同意認購2800萬股Aviation Synergy股份，總現金代價為2800萬美元。認購事項完成後，公司將間接於Aviation Synergy經擴大股本的約72.82%中擁有權益，而Aviation Synergy將成為公司的附屬公司。
Aviation Synergy為一家於開曼羣島註冊成立的投資控股公司。於本公告日期，Equal Honour及Smart Aviation分別擁有其52%及48%。NagaPacific乃根據新加坡法律註冊成立。該公司從事以付費或合約方式提供辦公管理服務以及其他投資控股。於本公告日期，該公司由Aviation Synergy實益擁有100%。
TAM乃根據印尼法律註冊成立，從事提供商業航空運輸服務。於本公告日期，NagaPacific擁有其49%，而印尼股東（公司的獨立第三方）擁有其51%。
公司稱，公司根據認購事項間接投資TAM。中飛租賃將透過延伸航空產業鏈下游至終端用户的先行優勢，推動其進一步發揮“製造商－租賃商－航空公司”這一生態模式的協同效應，這是集團全產業鏈業務多年來的發展後盾。作為集團垂直整合發展戰略的另一個重要支柱，中飛租賃與飛機制造商及零部件供應商的現有戰略伙伴關係也得到了進一步鞏固，並有助強化針對國產飛機在內的飛機資產生命週期管理能力。
此外，此項認購也將為集團推出更多航空類基金，包括航空類的人民幣基金架起橋樑。積極的基金管理是助力集團依託其獨特輕資產模式的重要手段，未來持續壯大業務規模的重要舉措。
