壹家壹品(08101.HK)獲授於廣東分銷Saniswiss產品專營權 對抗新型冠狀病毒
格隆匯3月4日丨壹家壹品(08101.HK)公告，於2020年3月4日，(i)公司間接全資附屬公司兆懋(作為發行人)、(ii)公司全資附屬公司Pursue Return(作為第一認購人)及(iii)瑞天醫療科技(作為第二認購人)就Pursue Return及瑞天醫療科技認購兆懋有關股份數目(分別佔經第一項認購事項擴大後兆懋的80%及20%股權)訂立認購及股東協議。
根據認購及股東協議，瑞士美將自本公告日期起至2023年3月3日向兆懋授予於中華人民共和國廣東省提供、銷售及分銷Saniswiss產品專營權及使用AutomateaHP以零接觸技術進行符合生態、高效率及有效的自動房間消毒工作。Pursue Return將向兆懋提供營運資金以"壹家壹防疫"的品牌經營上述業務。
同日，公司全資附屬公司GreaterEarn(作為認購人)與世紀科技(作為發行人)訂立認購協議，據此，世紀科技已有條件同意向GreaterEarn配發及發行且GreaterEarn已有條件同意向世紀科技認購及購買世紀科技的43股新股份，相當於經第二項認購事項擴大後世紀科技全部已發行股本約30%。世紀科技為Saniswiss產品於香港有關船隻及汽車行業銷售、使用及推廣唯一及獨家分銷代理。於本公告日期，郭可頌為世紀科技的控股股東。
Saniswiss已獲認可為病患安全組織(POPS)計劃的正式參與人，該組織為獲世界衞生組織(WHO)所認可組織。自2018年6月28日起，Saniswiss以POPS持份者身份一直積極參與其活動。使用Saniswiss產品以預防感染及保持衞生優勢在於其對人體無害，亦不會對環境保護有所妥協，甚至可以用於消毒餐具。在眾多Saniswiss產品中，生物消毒劑能有效對抗2019冠狀病毒病及不同病原體。有關手部、環境、房間及救護車衞生生物消毒劑殺菌性已通過不同歐洲標準測試(例如EN14476、EN16777及NFT72-281)。
公司透過Greater Earn收購於世紀科技的股權，並透過Pursue Return與瑞天醫療科技合作，利用其業務網絡(包括其家居及物業發展商以及物業管理網絡)及客户羣創造協同效應。隨着與瑞天醫療科技就促使供應Saniswiss產品建立戰略合作關係，令公司進軍銷售、使用及推廣優質衞生用品領域將可為本集團提供有關產品穩定供應。
集團的業務網絡及多元化銷售平台，加上世紀科技作為瑞士美的分銷代理商的地位，在抗疫中的關鍵時期可及時為市場提供有效的衞生產品，並可迅速被市場吸收。董事會認為，良好的個人及環境衞生意識的不斷提高，尤其是在疫情期間，將大幅增加對Saniswiss產品的需求，促進廣東省銷售。透過推廣現代環保及健康解決方案，運用生態科技及優質環保產品抗擊病菌，公司業務部署的新支線將豐富其策略性藍圖，並取得新收益來源，相信此情況於疫情期間更為顯着。
