英唐智控(300131.SZ)：為實現向上遊半導體領域縱向衍生的戰略佈局 收購先鋒微技術100%股權
格隆匯3月3日丨英唐智控(300131.SZ)公佈，2020年3月3日，為實現公司向上游半導體領域縱向衍生的戰略佈局，公司控股重孫公司科富控股與パイオニア株式會社(英文名：Pioneer Corporation，即先鋒集團)簽署《Share Purchase Agreement》，雙方同意以基準價格30億日元現金(以2019年12月31日匯率折算人民幣約19225.84萬元，還需減去交割日之前仍未支付的期末負債、未支付的環境整治費用和未支付的公司交易費用)收購先鋒集團所持有的パイオニア・マイクロ・テクノロジー株式會社(英文名Pioneer Micro Technology Corporation，即先鋒微技術有限公司，“MTC”)100%股權。
同時，為進一步保障交易雙方的權利與義務，在《股權收購協議》框架下，科富控股、MTC擬與先鋒集團就知識產權、過渡期服務等經營具體事項簽署一系列附屬協議，公司將根據法律法規的要求，及時履行信息披露義務。公司董事會將授權專門人員代表公司簽署本次MTC100%股權轉讓交割所涉及的相關協議，並辦理後續事宜。
先鋒微技術成立於2003年，其前身可追溯至母公司先鋒集團於1977年成立的半導體實驗室，專注於光盤設備和圖像處理的模擬IC和數字IC產品的研發生產，經過多年的發展，已經形成了包括光電集成電路、光學傳感器、顯示屏驅動IC、車載IC、MEMS鏡在內的主要產品，並提供MBE以及晶圓代工服務。
先鋒微技術在光電數字信號轉換傳輸領域的長期積累，可將其在光電集成電路、光學傳感器、車載IC領域的技術應用轉換至當前快速發展的光通信市場和新能源汽車市場，再通過與公司在國內的光通信行業(如中興、移動、光迅等)及新能源汽車行業(如比亞迪、吉利等)的客户資源結合，形成公司幫助獲取國內客户個性化需求、再由先鋒微技術快速響應完成定製化設計、最後交由(代)工廠完成生產製造並實現國內銷售的產業鏈條，將有望迅速打開國內相關領域芯片設計開發市場。
因此，對先鋒微技術的收購，將是實現公司進入半導體設計開發領域的重大舉措，將加快公司在該領域的戰略佈局。同時，藉助此次收購，公司未來將繼續加強在半導體設計及研發，生產製造等領域的產業佈局和人才培養，並形成以半導體產業設計、生產，銷售為主營業務的企業集團。通過充分發揮公司客户及渠道的優勢資源，進一步採用內部協同，外部協同聯動等合作機制，通過技術合作，資本合作等方式實現公司跨越式發展。
根據標的公司經審計的財務報表，標的公司近年來平均每年實現營業收入近4億元人民幣，實現淨利潤約1000萬元人民幣，保持在一個較為穩定的水平，假設公司經營態勢不發生較大變化，將有望為公司提供較為穩定的盈利來源，同時隨着與公司現有下游客户資源的結合，在光通信領域和新能源汽車車載IC領域實現突破，標的公司的盈利能力有望進一步得到增強，可以進一步拓展公司盈利來源、增強可持續發展能力，提升公司業務規模和盈利水平，為廣大中小股東的利益提供更為穩定、可靠的業績保證。
