格隆匯3月2日丨五礦地產(00230.HK)公告,於2020年3月2日,公司間接全資附屬盛世廣業與投資者深圳市潤投諮詢有限公司訂立合作意向協議,內容有關可能視作出售事項,當中(其中包括)投資者表示其有意獲接納為合資公司深圳市礦潤房地產開發有限公司(公司間接全資附屬公司)49%投資者。

同日,盛世廣業、合資公司深圳市礦潤房地產開發有限公司與投資者亦訂立合作框架協議,列載有關投資者獲識別為成功中標者,有權參與可能視作出售事項後,投資者參與合資公司的詳細安排。

投資者就有關參與合資公司建議,同意支付的總額約為12.86億元人民幣,其中包括(i)支付予合資公司總額為12.59億元人民幣貸款;及(ii)支付予盛世廣業約2700萬元人民幣利息支出。

可能視作出售事項一旦落實,合資公司將仍為公司附屬公司,繼續按綜合基準在公司賬目入賬。合資公司持有該地塊的土地所有權及發展該地塊以提供可供銷售住宅為其唯一成立目的。該地塊的土地編號為G11340-8034,位於中國深圳坪山區馬巒街道,地盤面積約31,065平方米,地積比率為不高於4.5,獲許作住宅建設用途,批准年期為70年。

集團主要從事房地產發展、專業建築、物業投資及證券投資。集團認為可能視作出售事項既可引進投資者,亦可從而提升合資公司的資本效率及加強財務狀況。董事(包括獨立非執行董事)認為合作意向協議及合作框架協議乃經訂約各方公平磋商後訂立,屬一般商業條款,有關條款誠屬公平合理,符合公司及股東的整體利益。
