中國支付通(08325.HK)：收到人民銀行行政處罰決定書
格隆匯2月28日丨中國支付通(08325.HK)公佈，董事會獲告知公司間接非全資附屬開聯通、執行董事宋湘平及執行董事宋茜各自分別於最近收到中國人民銀行營業管理部於2020年1月17日出具的《行政處罰決定書》(銀管罰[2020]4號)。
根據決定書，開聯通被發現：
(i)就反洗錢方面而言，(a)未按規定履行客户身份識別、客户身份資料和交易記錄保存及報送可疑交易報告義務；及(b)為身份不明的客户提供服務或與其進行交易；及
(ii)就互聯網支付業務而言，(其中包括)(a)未及時發現特約商户違規轉接支付接口至其他平台的情況；(b)未按規定將交易資金結算到特約商户的收單銀行結算帳户；及(c)未按規定為其客户開立個人支付帳户。
據此，宋湘平(為開聯通當時的總經理、董事會主席及反洗錢領導人組組長)及宋茜(為開聯通現任法人代表、總經理及反洗錢領導人組組長)被認為屬應就有關違規事件負上直接責任的開聯通高級管理層人員。
於此情況下，中國人民銀行決定：(i)向開聯通作出警告、沒收若干違規交易所產生的收入共計約人民幣400萬元以及罰款共計約人民幣1920萬元；(ii)向宋湘平作出警告並罰款共計約人民幣30萬元；及(iii)向宋茜作出警告並罰款共計約人民幣18萬元。
於公告日期，集團已向中國人民銀行營業管理部申請延遲於2020年8月10日前繳交開聯通、宋湘平及宋茜各自被判處的相關罰款。
於收到決定書後，集團一直研究決定書中所識別的事件並將執行糾正措施以完善其客户識別機制、客户洗錢風險管理、可疑交易報告系統及互聯網支付結算業務的整體工作流程。此外，集團將改善其反洗錢的管理及評估以及互聯網支付結算業務營運系統及機制，並將不時進行監控及檢討，亦會於必要時實施更多反洗錢措施以及提升其風險控制系統，從而避免決定書中所示的同類違規事件再次發生。
集團目前維持正常業務營運。根據決定書，集團將於截至2020年3月31日止年度確認為(i)前述罰款總額約人民幣1920萬元及(ii)上述被沒收的收入約人民幣400萬元，以便更準確反映集團於2020年3月31日的財務狀況。
此外，經董事會(不包括宋湘平及宋茜)評估及考慮後，(i)於決定書中，並無證據顯示宋湘平及宋茜涉及任何不實或欺詐行為；(ii)宋湘平及宋茜於中國支付及銀行行業富有經驗；(iii)就董事會所知，除決定書中所披露者外，宋湘平及宋茜於彼等各自於集團任職期間內並無任何其他違規記錄；及(iv)宋湘平及宋茜於彼等擔任董事或高級管理層(視情況而定)期間均認真履行其職務，為集團作出專業貢獻，亦有助集團的業務發展。因此，宋湘平及宋茜均合適並將繼續擔任執行董事。
