中國新城鎮(01278.HK)與國開南京投資發展等簽署合作協議
格隆匯2月28日丨中國新城鎮(01278.HK)發佈公告，近日，公司全資附屬公司中國新城鎮控股有限公司、國開南京投資發展有限公司與江蘇省建築工程集團第一工程有限公司(“江蘇省建一公司”)、南京國英中西建設開發有限公司(“項目公司”)簽署了《南京國英中西建設開發有限公司合作協議》。根據協議約定，四川中西置業有限公司(“四川中西”)將其持有的項目公司50%股權全部轉讓給江蘇省建一公司；各方均同意目標股權轉讓，並承諾按照協議約定辦理目標股權轉讓涉及的全部相關手續；目標股權轉讓完成後，各方應按照協議約定完整履行相關義務。
自2017年起，集團把教育行業作為民生改善的重要組成部分，面對社會發展需求，將提供全方位多元化教育產品服務與城鎮化建設的主營業務相結合，開展教育行業的投資。2018年1月21日，集團與四川中西及項目公司訂立合作協議，集團通過注資及股權收購的方式合計持有項目公司50%股權，項目公司成為集團的共同控制實體。項目公司主要業務是在南京市江寧區麒麟科技園進行國際化學校項目的建設及開發，該學校為覆蓋學前教育到高中的一體化民辦教育，以雙語國際化課程為主(K12雙語課程)。項目公司後續通過將校舍租賃給學校運營方的方式獲取長期收入。
目前，項目公司建設的幼兒園校舍已經基本完工，正在開展小學至高中階段的校舍建設工作。由於合作方四川中西的控股股東及其國資監管機構對其發展戰略調整，無法按原計劃參與項目的建設工作，江蘇省建一公司與四川中西就項目公司股權轉讓事宜達成一致，收購其持有的項目公司的全部股權。江蘇省建一公司將承接四川中西及其關聯方原有權利義務，參與後續學校的建設工作。收購完成後，江蘇省建一公司持有項目公司50%股權，而集團合計持有項目公司的股權、在項目公司中的權利及義務沒有發生變化，項目公司仍為集團的共同控制實體。
江蘇省建一公司是江蘇省建築工程集團有限公司的全資附屬公司。江蘇省建成立於1956年，總部位於南京，註冊資本12.5658億元人民幣，為綠地控股集團股份有限公司(600606.SH)的控股企業，擁有雄厚的股東背景支持。
公告表示，江蘇省建具備較強的項目開發建設管理經驗，同時其總部位於南京，在項目當地紮根多年，對當地政策及市場情況較為熟悉，並積累了豐富的經驗及資源，有利於南京學校項目建設的順利推進實施。另外，江蘇省建目前正從傳統業務出發，規劃產業佈局，開展多元化發展，對教育行業的發展也較為認可，通過本次的合作，可以拓展集團與其在教育領域長期深度合作機會。
