三連板黑牡丹(600510.SH)提示：存在大額商譽減值風險
格隆匯2月26日丨黑牡丹(600510.SH)公佈，公司股票於2020年2月24日、2月25日、2月26日連續三個交易日漲停，股價短期漲幅較大，根據Wind每日行情數據顯示，截至2020年2月26日，公司前30個交易日成交量不大，換手率較低，股票交易活躍度不高；而2020年2月24日、2月25日、2月26日連續三個交易日的成交量及換手率均遠高於平時水平，現對公司相關風險及事項説明如下，敬請廣大投資者理性投資，注意投資風險：
一、e互動相關回復事項的説明
公司關注到近期上證e互動有部分投資者問及公司所投資的寧波中車新能源相關情況。公司通過全資子公司牡丹創投持有寧波中車新能源8.46%股權，寧波中車新能源僅為公司投資參股的企業，故公司對其情況瞭解不多；公司在上證e互動上有關回復是基於寧波中車新能源提供的相關資料，未經公司親自核實。若由於該等未經親自核實的答覆引起投資者誤讀，公司向廣大投資者表示歉意，並向廣大投資者做出以下説明：
公司主營業務包括城鎮化建設、紡織服裝和IDC基礎設施製造(產業投資)，截至目前，公司主營業務未發生重大變化，所處市場環境及行業政策也未發生重大變化。
公司通過全資子公司牡丹創投持有寧波中車新能源8.46%股權，寧波中車新能源僅為公司投資參股的企業，其不納入公司合併財務報表範圍，公司將該部分股權計入“其他非流動金融資產”核算，根據企業會計準則，僅分紅或股權退出才會對公司損益造成影響。公司自投資該項目以來至2018年年末，既未獲得分紅亦未退出，未獲得投資收益。
2020年1月，寧波中車新能源完成對其原母公司浙江中車新能源的反向吸收合併，浙江中車新能源2018年經審計的營業收入1.58億元，淨利潤631萬元，總資產7.94億元，淨資產2.70億元。寧波中車新能源所處行業不會成為公司主營業務方向，其發展及業績情況對公司整體影響較小，亦不會對公司經營成果造成重大影響。
二、房地產業務規模較小、項目區域相對集中及行業宏觀政策的風險
公司房地產業務規模整體較小，2018年房地產行業收入37.66億元，佔公司營業收入的55.72%；2019年1-9月房地產行業收入40.04億元，佔公司營業收入的65.58%，2018年年末公司持有待開發土地共7塊。公司為區域性地產公司，項目所在區域相對集中，受區域政策影響較大。
三、商譽減值風險
2019年12月6日，公司收購IDC基礎設施製造行業公司深圳市艾特網能技術有限公司(以下簡稱“艾特網能”)75%股權，形成了約8億元商譽，佔公司2019年9月30日歸母淨資產比例約為9.69%，公司2019年1-9月歸母淨利潤為6.41億元(未經審計)。若艾特網能未來業績增長無法達到盈利預測水平，公司將可能面臨大額商譽減值風險，進而對公司業績產生較大影響。
四、5%以上股東減持風險
公司持股5%以上股東上海綜藝及其一致行動人昝聖達先生已於前期多次披露減持計劃，目前仍處於減持期間。截至2020年2月12日，其已累計減持公司股票51,281,568股，佔公司總股本的4.8975%，仍持有公司股票9022.7865萬股，佔公司總股本的8.6170%。
