雅克科技(002409.SZ)子公司擬580億韓元購買LG化學下屬彩色光刻膠事業部的部分經營性資產
格隆匯2月26日丨雅克科技(002409.SZ)公佈，2020年2月25日,公司子公司斯洋國際有限公司(“斯洋國際”或買方)與LG CHEM, LTD.(“LG化學”)簽署《業務轉讓協議》(“《交易協議》”)，約定斯洋國際以580億韓元的價格(以2020年2月25日韓元匯率中間價1元人民幣對韓元173.37元為基準，約合人民幣3.35億元)購買LG化學下屬的彩色光刻膠事業部的部分經營性資產(“標的資產”)，標的資產主要包括與彩色光刻膠業務相關的部分生產機器設備、存貨、知識產權類無形資產、經營性應收賬款等。
此次交易標的為LG化學下屬彩色光刻膠事業部的部分經營性資產，主要包括以下類別：1、與彩色光刻膠業務相關的存貨；2、與彩色光刻膠業務相關的專利等知識產權；3、與彩色光刻膠業務相關的有形資產；4、與彩色光刻膠業務相關的應收賬款。
此次交易所涉資產中的實物資產均位於LG化學在韓國的清州工廠以內。同時，為了保持資產交割後彩色光刻膠業務的持續正常經營，買方將接受在資產交割時仍然有效的與彩色光刻膠業務相關的合同之權利和義務。
LG化學作為LCD彩膠和OLED光刻膠主要供應商之一，行業知名度高，技術先進，市場佔有率高。通過此次資產收購，新增的彩色光刻膠業務將豐富電子材料業務板塊的產品種類。尤其在光刻膠這一主要的電子材料細分領域，公司將同時掌握彩色光刻膠和TFT-PR光刻膠的技術、生產工藝和全球知名大客户資源，併成為LG Display Co,的長期供應商，成為全球主要的面板光刻膠供應商之一。
此次交易符合國家的產業政策的導向。近年來國家出台的多項產業政策明確了包括光刻膠在內的電子化學材料業務已成為我國重點發展的新材料產業。通過此次交易，公司可以獲取彩色光刻膠的關鍵技術，在生產經營上減少對國外企業的依賴，並且填補國內相關技術的空白。同時，通過與國內顯示屏產業主要客户的業務合作，公司將逐步引進吸收相關技術，併為將來的自主研發打下堅實的基礎。
