鼎龍文化(002502.SZ)股東郭祥彬所持3309.99萬股司法拍賣股份完成過户登記
格隆匯2月26日丨鼎龍文化(002502.SZ)公佈，公司於2020年2月26日通過中國證券登記結算有限責任公司深圳分公司查詢獲悉，公司持股5%以上股東郭祥彬被司法拍賣並由公司董事長、實際控制人龍學勤競買成功的3309.99萬股公司股份已完成過户登記手續。
公司於2020年2月26日通過中國證券登記結算有限責任公司深圳分公司查詢獲悉，此次司法拍賣涉及的3309.99萬股公司股份已於2020年2月25日完成過户登記手續。此外，上述3309.99萬股公司股份在郭祥彬持有期間已被司法凍結，公司通過中國證券登記結算有限責任公司深圳分公司查詢獲悉，截至2020年2月25日，上述已過户至龍學勤名下的3309.99萬股公司股份的司法凍結情況已解除。
因此次司法拍賣的股份已完成過户，截至2020年2月25日，郭祥彬所持公司股份累計被司法凍結的數量變更為9856.31萬股，佔公司總股本的11.46%，佔其持有公司股份總數的100.00%；其所持公司股份累計被輪候凍結的數量為4700萬股，佔公司總股本的5.47%，佔其持有公司股份總數的47.69%。
此次司法拍賣股份過户完成後，郭祥彬的持股比例(佔公司總股本的11.46%)低於公司控股股東杭州鼎龍企業管理有限公司(“杭州鼎龍”)的持股比例(佔公司總股本的13.76%)，公司第一大股東由郭祥彬變更為杭州鼎龍，公司控股股東仍為杭州鼎龍，公司實際控制人仍為龍學勤。鑑於郭祥彬已將其所持有的全部公司股份對應的表決權委託給杭州鼎龍行使，此次司法拍賣股份過户完成後，郭祥彬委託給杭州鼎龍行使表決權的股份數量變更為9856.31萬股(佔公司總股本的11.46%)，杭州鼎龍及其一致行動人龍學勤合計持有公司股份數量變更為1.51億股(佔公司總股本的17.61%)，即杭州鼎龍及其一致行動人合計擁有的表決權股份數量為2.5億股(佔公司總股本的29.07%)。因此，此次司法拍賣前後，杭州鼎龍及其一致行動人合計擁有的公司表決權比例保持不變，仍為29.07%。
