銀城國際控股(01902.HK)擬收購上海雋嶽置業40%股權
格隆匯2月25日丨銀城國際控股(01902.HK)發佈公告,2020年2月25日,公司間接全資附屬公司杭州銀嘉泓(買方)、上海雋朗(賣方)、宏智發展與上海雋嶽置業有限公司(目標公司)訂立合作協議,據此,(i)杭州銀嘉泓同意購買上海雋嶽置業有限公司40%股權,總代價約為人民幣5.49億元;及規管訂約方的權利及責任以及目標集團的管理及事務。
根據披露,目標公司為於2019年8月成立,於,該公告日期,目標公司為杭州雋勁置業有限公司(項目公司)全部股權的持有人,而項目公司持有目標土地。由於目標公司及項目公司於近期成立後並無重大業務(除成功競投目標土地外),故於該公告日期並無有關目標集團的財務數據。
目標公司透過杭州國土局舉辦的拍賣以人民幣13.6466億元成功競投目標土地,目標公司在中國成立項目公司,以持有及開發目標土地。於2019年11月26日,項目公司與杭州國土局訂立補充土地使用權出讓合同,據此目標土地的土地使用權轉讓予項目公司。
目標土地位於杭州市,東至規劃道路、南至崇杭街、西至尚賢路、北至前村街的杭州市餘杭區崇賢新城向陽5號地塊,概約總樓面面積約4.88萬平方米,目標土地須作商業及住宅用途。
公告表示,完成收購事項後,目標公司將由公司間接擁有40%權益。董事會認為收購事項可壯大集團於長三角地區開發優質住宅物業的現有業務,同時將業務擴張至杭州市。預期收購事項將有助集團發揮實力及把握市場機遇,從而增強於中國房地產市場的投資組合。
