羣興玩具(002575.SZ)：子公司九連環融合擬引入戰投 持股將稀釋至55.97%
格隆匯2月24日丨羣興玩具(002575.SZ)公佈，北京九連環融合科技有限公司(“九連環融合”)為公司全資子公司，註冊資本3000萬元，專注於數據融合共享交換應用平台開發，為政府、企業提供數據共享融合交換平台產品及一體化綜合解決方案，打造政府數據中台、企業數據中台。九連環融合通過數字化提升政府的經濟管理和社會治理能力，打造智慧城市公共信息平台與應用體系建設。
九連環融合擬以增資擴股形式引入戰略投資者東莞市盈通實業投資有限公司(“盈通實業”)、賴麗華、李格陽、古頌謙、洪海濤。九連環融合按投前估值6000萬元，增資價格為2元/註冊資本，戰略投資人合計向九連環融合投資4720萬元。其中，盈通實業以貨幣資金形式向九連環融合增資人民幣1160萬元，增資後，盈通實業將持有九連環融合10.82%股權；賴麗華以貨幣資金形式向九連環融合增資人民幣1760萬元，增資後，賴麗華將持有九連環融合16.42%股權；李格陽以貨幣資金形式向九連環融合增資人民幣900萬元，增資後，李格陽將持有九連環融合8.40%股權；古頌謙以貨幣資金形式向九連環融合增資人民幣700萬元，增資後，古頌謙將持有九連環融合6.53%股權；洪海濤以貨幣資金形式向九連環融合增資人民幣200萬元，增資後，洪海濤將持有九連環融合1.87%股權。增資完成後，羣興玩具仍為九連環融合的第一大股東，不影響公司對其控制權與納入合併報表範圍，此次增資事項不會對公司財務及經營狀況產生重大影響。
此次增資能夠極大的提升九連環融合的技術研發與業務拓展能力。依託其頂層設計、平台搭建、數據集成、數據分析等四大核心業務能力，有助於組建公司整體的數據融合共享交換基礎平台，與科技創新各業務協同發展；此次增資擴股事項完成後，公司持有九連環融合股權比例將由100%被稀釋至55.97%，但公司仍為九連環融合的第一大股東，不影響公司對其控制權與納入合併報表範圍，此次增資事項不會對公司財務及經營狀況產生重大影響。
