宏川智慧(002930.SZ)擬以掛牌底價4.09億元收購常州華潤56.91%、常熟華潤100%股權
格隆匯2月24日丨宏川智慧(002930.SZ)公佈，公司擬通過上海聯合產權交易所以現金方式受讓華潤化學持有的常州華潤56.91%的股權及至溢投資持有的常熟華潤100%股權。
自2020年1月9日起，華潤化學在上海聯合產權交易所發佈產權轉讓披露信息，公開掛牌轉讓其持有的常州華潤56.91%的股權，正式披露時間為20個工作日。自2020年1月9日起，至溢投資在上海聯合產權交易所發佈產權轉讓披露信息，公開掛牌轉讓其持有的常熟華潤100%股權，正式披露時間為20個工作日。上述兩項目為聯合轉讓。
上述信息發佈期滿後，根據上海聯合產權交易所於2020年2月17日出具的組織簽約通知，上市公司被確定為常州華潤56.91%、常熟華潤100%股權的受讓方。
根據上海聯合產權交易所於2020年2月17日出具的組織簽約通知，此次交易最終交易價格即為此次股權轉讓之轉讓標的的合計掛牌底價4.09億元。
上市公司系一家倉儲物流綜合服務提供商，主要為境內外石化產品生產商、貿易商和終端用户提供倉儲綜合服務及其他相關服務，業務具體包括裝卸、倉儲、過駁、中轉、物流鏈管理等。
此交易標的企業與上市公司現有業務相同。此次交易完成後，上市公司將取得標的公司的岸線使用權、土地使用權等石化倉儲經營優質資產，進一步增強公司的競爭實力。同時，標的公司地處常州港錄安洲港區和常熟經濟開發區，標的公司收購完成後，將使公司倉儲業務版圖中的長三角區域的倉儲基地將形成集羣效應，公司將在長江沿岸擁有兩個8萬噸級、一個5萬噸級、一個2萬噸級及一個1,000噸級碼頭，太倉陽鴻、南通陽鴻、常州華潤、常熟華潤的儲罐罐容分別為60.60萬立方米、47.50萬立方米、54.40萬立方米及16.01萬立方米，罐容合計178.51萬立方米，有利於促進公司創新服務相關業務開展，提升綜合服務實力。
