萬豐奧威(002085.SZ)擬24.18億元收購萬豐飛機55%股權
格隆匯2月24日丨萬豐奧威(002085.SZ)公佈，公司擬以現金購買萬豐航空工業有限公司持有的萬豐飛機工業有限公司55%股權。交易價格以具有證券、期貨相關業務資格的評估機構出具的評估值48.85億元為基礎下調10%作為此次交易的依據，根據轉讓股權的比例，經公司與交易對方協商一致後確定交易價格為約24.18億元。
萬豐飛機是集自主研發、頂級設計、先進製造、銷售服務等於一體的專業通用飛機制造商，是世界固定翼通用飛機制造前三強，為全球通用飛機的領導者；旗下鑽石飛機品牌有着悠久的歷史，目前已經擁有歐洲航空安全局EASA頒發的DOA航空設計組織認證證書和DUA航空研發組織認證證書，成為行業內為數不多的取得該證書的企業之一。萬豐鑽石飛機已經儲備了大量以新型活塞固定翼飛機、航空發動機、複合材料為特色的通用航空研發與設計技術，實現了諸多行業技術與應用全球領導。萬豐飛機已擁有奧地利、加拿大、捷克三大飛機設計研發中心以及奧地利、加拿大、中國浙江新昌三大飛機制造基地，主要客户面向全球範圍內的航空飛行學校、航空公司、航空俱樂部及私人消費者等，與漢莎航空、卡塔爾航空、芬蘭航空學院、中國民航飛行學院等全球知名企業建立了長期戰略合作關係。萬豐飛機主要產品有鑽石DA20、鑽石DA40、鑽石DA42、鑽石DA62等型號通用飛機。
萬豐鑽石飛機作為世界固定翼通用飛機制造商前三強，根據通用航空製造商協會GAMA數據，2016到2018年鑽石品牌飛機每年向客户交付飛機數量分別佔當年全球活塞式通用飛機交付數量的11.43%，11.25%和10.29%。萬豐飛機其全球競爭對手主要包括美國塞納斯飛機(Cessna)、中航西鋭飛機(Cirrus)等。
此次交易前，上市公司及下屬子公司主營業務為高端鋁合金、輕量化鎂合金材料等領域，實現了細分市場全球領跑。通過此次交易，公司將新增通用航空飛機制造業務。此次交易完成後，有利於上市公司優化業務結構和資源配置，有助於推動公司大交通戰略的實施、加快產業轉型升級、資本轉型、管理轉型，提升公司後續發展的市場空間、盈利能力和全球核心競爭力。
