大華股份(002236.SZ)擬與關聯方等設立汽車技術 有助在智能交通、物聯網應用等方面拓展
格隆匯2月24日丨大華股份(002236.SZ)公佈，公司擬與關聯法人浙江零跑科技有限公司(“零跑科技”)、寧波華淩投資管理合夥企業(有限合夥)(“寧波華淩”)、寧波華汽企業管理合夥企業(有限合夥)(“寧波華汽”或“員工持股平台”)共同出資人民幣1.5億元設立浙江大華汽車技術有限公司(暫定名，具體以工商核准登記為準，“汽車技術”)。其中，大華股份以自有資金出資7650萬元，佔註冊資本的51%。該公司為上市公司控股子公司。
該公司經營範圍：一般項目：技術服務、技術開發、技術諮詢、技術交流、技術轉讓、技術推廣；軟件開發；汽車零部件及配件製造；汽車及零配件批發；汽車零配件零售；通用設備製造(不含特種設備製造)；機械電氣設備製造；計算機軟硬件及外圍設備製造；電工機械專用設備製造；發電機及發電機組製造；電力電子元器件製造；電子元器件製造；電動機制造；電池製造；智能車載設備製造；導航終端製造；其他專用儀器製造；新能源汽車電附件銷售；軌道交通專用設備、關鍵系統及部件銷售；人工智能行業應用系統；信息系統集成服務；技術進出口；貨物進出口。(除依法須經批准的項目外，憑營業執照依法自主開展經營活動)
該公司名稱及經營範圍以工商登記機關核准登記的內容為準。
隨着人工智能、大數據和物聯網等技術的迅速發展，其在交通系統領域的應用越來越廣，實現智能化交通管理、智能動態信息服務和車輛智能化控制發展等智能化和網聯化需求成為汽車行業發展的重要方向，視頻感知、智能駕駛和車聯網的需求快速提升。公司此次與關聯方共同投資設立控股子公司有助於公司在智能交通、物聯網應用等方面的拓展，並通過與控股子公司核心員工共同投資，建立利益共同體，充分調動相關員工的積極性。
考慮到在成立初期存在收益不確定性和一定的風險，為了有效保障公司資金安全，維護廣大中小投資者的利益，同時利用關聯方的資金優勢，員工持股平台核心員工的管理和技術優勢，實現多方共贏，公司擬與關聯方零跑科技、寧波華淩、寧波華汽共同出資設立汽車技術，並由公司控股。
