漢鼎宇佑(300300.SZ)擬斥1200萬元參設互聯網醫院子公司
格隆匯2月24日丨漢鼎宇佑(300300.SZ)公佈，公司於2020年2月24日召開了第三屆董事會第四十二次會議，審議通過了《關於對外投資設立互聯網醫院子公司暨關聯交易的議案》，同意公司與公司控股子公司好醫友醫療科技集團有限公司(“好醫友”)、平潭綜合實驗區金融創新服務中心有限責任公司(“金服公司”)共同出資設立“好醫友互聯網醫院(平潭)有限公司”(暫定名，具體以工商行政管理部門核准登記為準，“合資公司”)，合資公司註冊資本為人民幣3000萬元，公司擬以自有資金出資1200萬元整，佔合資公司40%股權，好醫友出資1200萬元，佔合資公司40%股權，金服公司出資600萬元，佔合資公司20%股權。
好醫友為公司控股子公司，金服公司為公司控股股東平潭創新股權投資合夥企業(有限合夥)(“平潭創投”)的控股股東平潭綜合實驗區金融控股集團有限公司(“平潭金控”)全資子公司。
公司名稱：好醫友互聯網醫院(平潭)有限公司(暫定名，具體以工商行政管理部門核准登記為準)經營範圍：醫療資源開發、諮詢及服務；醫療信息諮詢及服務；醫院管理諮詢；健康管理諮詢；藥品零售；互聯網信息諮詢及服務；遠程病理診斷；遠程影像診斷；遠程診療；遠程會診；遠程監護；遠程病例討論；內科；外科；腫瘤科；婦產科；兒科；眼科；整形科；檢驗科；預防保健科；急診科；中醫科；慢病管理；醫學檢測；醫學教育；醫學培訓；醫學遠程培訓。(依法須經批准的項目，經相關部門批准後方可開展經營活動)。
目前我國的互聯網醫療用户普及率較低，互聯網醫院產業發展有助於紓解線下診療壓力，優化醫療資源配置，提高醫院流程效率。新冠肺炎疫情過後，國內居民對於互聯網醫療服務形式的認可度和使用程度有望得以提升，互聯網醫院產業預計未來會得到較大的發展。
2019年12月，福建省正式提出推進“互聯網+醫療健康”示範省建設，公司此次參與投資設立互聯網醫院合資公司，基於各方優勢資源，充分利用平潭金控的國資資源和公司的產業能力，也符合平潭綜合實驗區的產業發展方向。合資公司將為廣大用户提供高效、便捷的互聯網醫院、健康管理等服務，這能進一步拓展公司現有智慧醫療板塊業務，長遠來看，也能提升公司核心技術競爭力和持續發展能力。
公司對外投資設立合資公司，有利於公司聚焦既定的轉型業務，促進合資各方優勢資源共享整合，拓展公司在智慧醫療產業方面的行業佈局，優化公司業務結構；此次交易預計不會對公司財務及經營狀況產生不利影響，不影響公司的獨立性，不存在損害公司及全體股東利益的情形，也不存在違反相關法律法規的情形。
