南華期貨(603093.SH)：境外分支機構涉及訴訟
格隆匯2月23日丨南華期貨(603093.SH)公佈，HGNH INTERNATIONAL FUTURES CO.,LIMITED(“橫華國際期貨”)系公司全資孫公司，NANHUA USA HOLDING LLC(“NANHUA USA”)系公司控股孫公司。美國時間2020年2月14日，郝煉向美國伊利諾伊州庫克縣地方法院(Cook County, Illinois)提起訴訟，公司於2020年2月21日收到郝煉代理律師向公司的美國律師轉遞的訴訟材料。
案件基本情況：2015年12月31日，郝煉、Chicago Institute of Investment, Inc. (“CII”)、橫華國際期貨三方簽訂了《股權轉讓協議》。據此，橫華國際期貨以NANHUA USA 18.53%的股權和50萬美元現金收購郝煉100%持有股權的CII。同時，郝煉擔任NANHUA USA的CEO。後由於橫華國際期貨對NANHUA USA進行增資，而郝煉未同步增資，故郝煉持有NANHUA USA的股權比例降至7.22%。2016年3月28日，橫華國際期貨將NANHUA USA92.78%的股權轉讓給橫華國際金融股份有限公司(該公司為公司全資子公司，“橫華國際”)。
在郝煉擔任NANHUA USA的CEO期間，2016年、2017年、2018年、2019年1-6月NANHUA USA淨利潤分別為11.35萬美元、-2.19萬美元、-47.03萬美元、和-33.94萬美元；上述各期末NANHUA USA淨資產分別為2624.75萬美元、2616.59萬美元、2395.71萬美元、2378.55萬美元。截至2019年6月30日，郝煉所持有的NANHUA USA股權對應的賬面淨資產為171.73萬美元。
2019年10月6日，郝煉書面形式通知公司要求退股，並於2019年12月1日要求公司以7,596,892美元的價格收購其持有的NANHUA USA股權。
美國時間2020年2月14日，郝煉向美國伊利諾伊州庫克縣地方法院(Cook County, Illinois)提起訴訟。2020年2月21日，郝煉代理律師通過電子郵件將相關訴訟材料遞交給公司的美國律師。公司並不認為郝煉代理律師的行為符合美國民事訴訟的“送達”，同時公司已聘請專業律師處理本次訴訟事宜。
訴訟請求：郝煉要求公司以759.69萬美元的價格收購其所持有的NANHUA USA股權，外加利息、合理的律師費以及其他法院認可的賠償。
