長興國際(00238.HK)接獲2016年配售項下債券持有人律師發出的催繳函 明起復牌
格隆匯2月23日丨長興國際(00238.HK)公佈，公司日期為2016年3月31日及2017年3月31日的公告披露，內容有關(其中包括)配售一年期、兩年期、三年期、五年期及八年期本金總額分別最高達2億港元及1億港元的非上市債券(分別稱為“2016年配售”及“2017年配售”）。
公告日期，2016年配售及2017年配售項下債券(“債券”)的未償還本金總額達1.624億港元。債券的大部分持有人為根據香港政府的資本投資者入境計劃申請香港居民身份的申請人。
根據債券的條款及條件，倘拖欠支付到期應付的任何債券利息，則屬違約事件，而有關違約情況持續期間達3個連續營業日。
由於公司尚未支付於2019年12月31日到期應付的最近半年利息共計約490萬港元，因此公司認為已發生違約事件。
根據債券的條款及條件，倘發生違約事件，債券的任何持有人可通知公司債券即時到期及須予償還。
2020年2月21日，公司接獲2016年配售項下債券持有人律師發出的催繳函，要求即時償還約620萬港元，即公司向有關持有人發行債券的本金及應計利息總額。公司認為其有充足資金償還上述款項。
截至公告日期，除上文所述的催繳函外，公司並未接獲任何其他通知要求償還債券。於所有債券持有人要求還款的最壞情況下，於公告日期，公司估計應付本金及利息總額將約1.7億港元。
公司確認集團的資產價值超逾上文1.7億港元的估計金額。根據公司截至2019年12月31日止年度的初步未經審核綜合管理賬目，於2019年12月31日，公司的總資產及淨資產分別約人民幣11.76億元及人民幣6.84億元。
應公司要求，公司股份自2020年2月21日上午11時6分起於聯交所暫停買賣，以待該公告刊發。公司已向聯交所提出申請公司股份自2020年2月24日上午9時正起於聯交所恢復買賣。
