*ST天首(000611.SZ)擬放棄天池鉬業增資優先認購權 持股比例被稀釋至52.1291%
格隆匯2月21日丨*ST天首(000611.SZ)公佈，公司與其全資子公司北京凱信騰龍投資管理有限公司的合夥企業吉林市天首投資中心(有限合夥)(“天首投資”)的控股子公司吉林天池鉬業有限公司(“天池鉬業”)擬引入投資者並進行增資擴股。公司於2020年2月21日召開了第八屆董事會第三十九次會議，審議通過了公司《關於控股子公司增資擴股暨放棄相關優先認購權的議案》，公司董事會同意天池鉬業此次增資事項並放棄公司對其此次增資的優先認購權，並同意公司控股子公司天池鉬業與金堆城鉬業股份有限公司(“金鉬股份”)、吉林省亞東國有資本投資有限公司(“亞東投資”)共同簽訂《金堆城鉬業股份有限公司、吉林省亞東國有資本投資有限公司關於吉林天池鉬業有限公司之增資協議》(“增資協議”)。金鉬股份、亞東投資共同以5億元認購天池鉬業新增註冊資本14258.9438萬元，天池鉬業註冊資本將由3.25億元增加至46758.9438萬元。此次引進投資者對天池鉬業的增資擴股並放棄此次增資的優先認購權事項，未導致天池鉬業控股權發生變化。
吉林天池鉬業有限公司經營範圍：鉬礦開採、加工；鉬精粉銷售；礦山車輛、設備租賃；硅石、螢石、長石、建築石材、土石方生產、加工、銷售、運輸、平整。(依法須經批准的項目，經相關部門批准後方可開展經營活動)。
2017年7月13日，公司進行了重大資產收購事項，此次資產收購確定了公司主營業務發展方向，為使天池鉬業小城季德鉬礦這一優勢資源早日轉化為優勢產業，為企業和地區帶來經濟效益和社會效益，同時緩解天池鉬業小城季德鉬礦建設資金緊張問題，取得同行業優秀團隊的共建，為公司徹底解決可持續經營能力和抗風險能力薄弱的問題。此次天池鉬業引進投資者增資擴股同時放棄優先認購權後，公司仍持有天池鉬業52.1291%的股權，不會導致公司對天池鉬業控制權的變更，此次放棄增資優先認購權不存在損害公司和全體股東特別是中小股東利益的情形，符合公司戰略發展的需要。
